I had a good meeting with Dan and he seems agreeable to your terms including a LLC interst/profit participation
as we discussed. He seemed a bit concerned what the first lender (now TD) would make of amending the LLC
operating agreement and/or transfer to a new LLC. (I think the bank would welcome anything that makes an 11
less likely.) He will raise this and we plan to meet again later in the week.
He would like to close late in June.
If you will be in NYC this week let me know. I am going up tonight through Thursday.
