THE JEFFREY E. EPSTEIN 2012 TRUST TRUST AGREEMENT, dated October 24, 2012, by and among JEFFREY E. EPSTEIN, as Grantor ("Grantor"), and DARREN K. INDYKE, JAMES E. STALEY AND ANDREW FARKAS, as Trustees ("Trustees").
