September 30, 2013 a re , onne • icu Dear Richard: We are pleased to extend an offer to you for at-will employment with Black Family Partners as the full time Family Office Services CFO, and hope you will decide to join our company. If you accept the above-mentioned position with us, you will be expected to devote your entire business time, effort and skills to the business and operations of Black Family Partners and its affiliates. Following are the terms of employment we have discussed: • Start Date: On or before November 1, 2013 . • Annual compensation: $ 350,000 which will be paid to you twice a month. • Medical Plans: You may apply for participation in Black Family Partners' medical and dental, plans immediately upon commencement of your service. Coverage will begin as of the first day of the month following your initial date of service. You will be provided with full coverage under the company's plan, with 100% of the premium to be paid by Black Family Partners. • Vacation: You are entitled to 4 weeks paid vacation. • Holidays: You will be paid for all office holidays, in accordance with the schedule provided annually. • Reference Verification and Background Check: This offer is contingent upon the satisfactory completion of reference verification, a review of your credit history, and a review of your civil and criminal history (if any). Your employment with Black Family Partners is at-will and either party can terminate the relationship at any time with or without cause and with or without notice. You acknowledge that this offer letter represents the entire agreement between you and Black Family Partners and that no verbal or written agreements, promises or representations that are not specifically stated in this offer, are or will be binding upon Black Family GP, LLC. Please confirm your decision to accept our offer of at-will employment by signing two copies of this letter & returning one copy to me.
