ACCEPTANCE CERTIFICATE Relating to one Gulfstream GV-SP Aircraft (G550) bearing MSN 5173 (the "Aircraft") Pursuant to the Aircraft Sale and Purchase Agreement ("Agreement," capitalized terms used but not defined herein have the meanings ascribed in the Agreement) dated as of February 24, 2017 between CHEVRON US.A. INC., a Pennsylvania corporation as seller ("Seller") and Plan D, LLC, a U.S. Virgin Islands limited liability company, as buyer ("Buyer"), Buyer hereby accepts the Aircraft as further described in the Agreement and certifies as follows: (A) Buyer has conducted an Inspection of the Aircraft, and the Aircraft conforms with the description, and is in the condition and equipped as required by the Agreement, and Buyer is satisfied with the physical condition of the Aircraft following the Inspection. (B) Buyer has inspected, found to be complete and satisfactory to it all of the Aircraft Documents. (C) Seller has met all of the terms and conditions of the Agreement.
