("Reeder & Reeder"), effective as of May 26, 2009, to provide legal representation to you in connection with the above- referenced litigation (the "Litigation"). It is understood by you and Reeder & Reeder that you are already represented by Burman, Critton, Luther & Coleman, LLP and by Atterbury Goldberger & Weiss, P.A. as your counsel of record in the Litigation. It is further understood that the initial scope of our representation will be to assist your counsel of record, as they may request from time to time, in analyzing and preserving issues in anticipation of any potential appeals. We also are available to consult with and to assist your counsel of record with the preparation of motions and memoranda on an as needed basis. I am the Reeder & Reeder attorney who will be responsible for this representation. To the extent I believe it to be prudent, efficient and in your best interests, I may assign certain tasks to other Reeder & Reeder lawyers, including but not limited to Dolly V. Davis and C. Bryce Albu. I will coordinate our efforts with your counsel of record and will keep them informed of the course of action being followed or recommended by us. If at any time you wish to consult with me directly about any aspect of the representation, I will be happy to do so. As compensation for our services, you agree to pay Reeder & Reeder a fee of S400/hour for my time and $250/hour for the time of our associates ("Fees"). In addition, you agree to pay us for photocopies ($.25/page), fax charges ($.50/page), postage, Westlaw (legal research) charges and any other costs and expenses incurred in connection with the representation ("Costs and Expenses"). We will invoice you periodically (typically monthly) for Fees and Costs and Expenses. Payment is due upon receipt. Although we do not expect it to be necessary in this case, we reserve the right to charge interest at the rate of 1% per month on invoices that are not paid in full within 30 days. The retainer is not a fixed fee for the representation or a maximum fee. As stated above, our fees will be based upon hourly rates. We reserve the right to require the retainer to be replenished in whole or in part at any time should the scope of the representation change or should we deem it to be necessary to secure payment of our invoices. We trust that you will be pleased with our representation of you. You will have the right, however, to terminate the representation at any time for any reason by giving written notice of termination to us. Similarly, Reeder & Reeder shall have the right to terminate the representation as required or permitted by the Rules Regulating the Florida Bar. In the event of a termination, it is understood that Reeder & Reeder will be entitled to payment of any unpaid Fees and Costs and Expenses. We will cooperate in the transfer of appropriate file documents to you or your new counsel under such circumstances. All original client documents of our clients remain the property of our clients. All files generated by our firm arc the property of our firm; however, upon payment of any outstanding Fees and Costs and Expenses, copies of appropriate file documents will be made available to you.
