SUMMARY OF TERMS FOR SALE OF S-76C++
CONFIGURATION —
Configuration shall be as specified for previously-purchased sin 760750. Buyer retains right to modify interior and exterior
fabrics/colors. Other changes will be subject to contract amendment.
PRICE —
Completed price (baseline plus completion services) shall be $12,000,000.
INCLUSIONS —
Training, warranty, and charter support (AAG time) shall be per Sikorsky standard offering. Additional enhancements to this
package will, at buyer's election, be transferred from s/n 750 prior to assignment or resale of that aircraft.
OTHER RELEVANT TERMS OF SALE —
In order for above price to apply, the following terms and conditions must be satisfied;
1.
Payment of 85% of the contract price ($10,200,000) will be payable immediately following contract execution.
Payment must be received by Sikorsky, either via completed wire transfer or by a paper check delivered to a Sikorsky
employee, not later than 5:00pm, March 31, 2010.
2.
In addition to the above payment against this S-76C++, a deposit must be received by Sikorsky (same requirements
for receipt as #1 above) in the amount of $2,000,000, for the anticipated purchase of a S-76D. Negotiation of full terms for
that sale will follow the March 31, 2010 deadline for deposit. Full terms of the deposit to be captured under a formal
Deposit Agreement. In the event that the S-76D purchase negotiation can not be concluded for any reason, the deposit
shall be refunded, less a $100,000 amount retained by Sikorsky as offset to the discount of the S-76C++ which had been
prospectively applied.
NOTES —
Delivery timing of the S-76C++ to be baseline in July, 2010 or earlier as practical at seller's option. Delivery of the fully
completed aircraft to be in March, 2011.
Buyer has been provided pricing information, which remains valid, for the S-76D in two configurations; the Sikorsky-defined
'deluxe VIP' at $12,120,000, and an alternate for a S-76D configured as per the specification for sin 760750. Inclusive of
the additional entitlements (training, warranty, charter time), and the other configuration features of s/n 750, the alternate S-
76D price is $13,434,708.
