Per 4.3 comp of officers (which includes a Chairperson - see 4.1(a) and 4.2(a)) is as approved by a 2/3rds vote of the board. Same is true for comp of President under 4.3. Per 2.8, directors shall not receive comp for service as directors but can be paid for other services to company with 2/3rds board approval? So if he is not being paid for being chairperson is that because no board has approved comp for the Chair or is there a resolution of the board that says no comp? Looks like he can be paid for other services with board approval.
