I am dealing with two family shareholders who are coming to grips with the fact that there shares are getting a major down round and despite having combined 69m (51 and 18) investment they have to get substantial dilution. We are getting closer. I have control of the debt and blocking rights on new investment as I put some money in personally to help the company but only did that when the 51m investor provided me with their voting rights and debt collateralization rights. It will take a few more weeks I suspect. During this time he neglected to tell me he had taken my Info and filed for his own system. Unfortunately he filed too late and doesn't have Itu priority, and the system design I was working on then had fundamental flaws. It will be prohibitively expensive to build.
