The Second Party undertakes to provide the numbers of Personnel determined in Addendum (G) Statement of Work to provide the Services to the First Party throughout the Contract term. 1-2. The Personnel shall attend training courses on the account of the Second Party for a period of time in accordance with the schedule set out in Addendum (G) Annex (B) Statement of Work, calculated within the Contract term prior to joining work with the First Party. so as to boost some skills and experience required from them as described in Paragraph b.(2) here below. 1-3. In the event where the First Party wishes to have any of the Personnel replaced for incompetence or security or conduct reasons, the Second Party is committed to replace him with another person who has the same experience and qualifications without any additional cost to the First Party and within 60 days following the date of notice sent by the First Party in this respect. 1-4. Military Experience and Courses 2-1. Military Experience All Personnel intending to work for the First Party must have received prior military training, and have served in field military units for at least two (2) years, and they shall be selected through the formation of a joint committee between the two parties, after verification of their identity papers, personal interviews. and then physical fitness tests and complete medical examinations. 2-2. Qualification Training Course Once the personal interviews and medical examinations are completed. the Personnel shall participate in training courses as referenced in Addendum G Statement of Work, and Paragraph 2 Annex B attached hereto, including but not limited to the following subjects: Physical fitness Guard duty and search • Patrols Search for explosives Telecommunications Unarmed combat • Crowd control Training on crisis and disaster response Awareness of the GI-1() Armed Forces laws Customs and traditions of the United Arab Emirates 2-3. Second Party's Responsibilities 2-3- 1 . The Second Party undertakes that all the individuals included in this Contract shall abide by the UAE and Armed Forces laws, regulations and by laws. 2-3-4. The Second Party shall. if requested by the First Party, assist in the process of obtaining security approval for the Personnel from the competent entities of the First Party before starting to fulfill their duties under this Contract. 2-3-5. The Second Party may not use the contracted work sites as training fields for any person other than the Personnel. 2-3-6. The Second Party's activities and duties are subject to the supervision and audit of the First Party's competent staff. 2-3-7. The Second Party shall not use the accommodation facility for non-approved personnel within or outside the purpose of the Contract without the permission of the First Party. Article (4) Obligations of the First Party I. The First Party shall appoint one of its staff as its representative for the Contracting Officer's Technical Representative (COTR) for the follow up and execution of this Contract, who shall have the necessary authorization to take decisions and act as link between the two parties regarding this Contract. 3. The First Party shall provide accommodation, food, transportation, life support, as well as all required equipment. ancillary, items, logistics and other support needed to execute and sustain the SSG Program as listed in Addendum G Statement of Work and its Annexes and any additional requirements to the Personnel throughout the term of this Contract. Article (7) Penalties I. If the Second Party is late in providing all or part of the Personnel beyond the deadlines fixed in the Contract, a delay penalty at the rate of 1% of the Contract value shall be imposed on it for the first week or part thereof, and such penalty shall be increased thereafter to 2% of the Contract value for each week or part thereof with a maximum of 10% of the Contract value. The delay period shall be calculated from the beginning of the training period as per Annex B of Addendum (C) Statement of Work attached hereto. 2. Terminate the Contract and confiscate the bank guarantee in whole in case no services at all have been provided or confiscate the equivalent of 10% of the Contract value. PROVIDED HOWEVER, that if the Second Party has provided the required number of Personnel, and the First Party has declined to accept a part thereof due to the First Party's inability to accommodate the said declined part. the Second Party will not be considered as being in breach of its obligations hereunder if subsequently the First Party requests the provision of the previously declined part of the Personnel. If the Second Party does not within the agreed period provide the required number of Personnel that was declined previously by the First Party. then the Second Party will be considered as being in breach of its obligations. 3. Article (8) Performance Bond Within 20 days at the most after the Second Party is notified that the Contract has been signed and provided that the Second Party has received an original copy of the Contract, the Second Party undertakes to provide a bank guarantee as performance bond issued by a bank operating in the State and amounting to 10% of the Contract value as per the form included in Addendum (F) attached hereto. The bank guarantee must be unconditional, must remain valid for at least 90 days following the expiry of the Contract, at which time it shall expire. If the Contract is renewed or extended, the Second Party will provide the appropriate bank guarantee at the time of renewal or extension. 3. The value of the bank guarantee shall be reduced in the respective values of the deliverables made in accordance with this Contract as referred to in Annex C attached hereto. 4. Subject to the provisions of paragraph (c) above, the bank guarantee shall stipulate that its outstanding value shall be payable to the First Party, on immediate basis and upon the mere production of a written letter from the First Party without the need for any judicial proceedings and without any conditions. 5. If the Second Party does not provide the necessary guarantee within the deadline indicated in Paragraph 1 and 5 of this Article above, the First Party may cause the Contract to be executed by a third party and have the updating, development and maintenance carried out at the Second Party's expense and under its responsibility, and claim from the latter payment of all financial differences incurred by the First Party as a result thereof by way of deducting the same from the Second Party's entitlements due by the First Party or by any other governmental entity, or claim the same before the courts while blacklisting the Second Party and preventing it from participating in the Armed Forces tenders for at least one year. Article (9) Offset Program It is agreed between the First and Second Parties that any contract/purchase order or a set of contracts/purchase orders entered into between the two parties for a value exceeding within (5) five years the sum of Dirhams 36,730,000, or the equivalent of USD 10,000,000, shall be subject to the UAE Offset Program. The five year period shall start to run as from the date of the first contract or purchase order entered into between the First and Second Parties. Service provided shall be of a level suitable to treat common ailments and injuries. 1. 1.2 Arms Room and Weapons Storage. The Contractor shall develop Standard Operating Procedures (SOPS) and maintain Arms Rooms. The Client shall provide sufficient storage capacity to accommodate weapons and ammunition basic load requirements. 4. 1 .1 Warehouse Management and Quartermaster Services. The Client shall provide a warehouse of sufficient size and outfitted with appropriate storage racks, shelf decking, storage cabinets and material and security.
