Signature Darren K Indyke Name In consideration of the Bank providing the aforesaid accommodation, the undersigned hereby agrees that (a) the Bank is released from any and all liabilities to the undersigned, the payee or any other person arising from this Authorization and the compliance of the Banks with the terms hereof, including, without limitation, for the genuineness of the Checks (including the genuineness of the drawer's signature) or the genuineness of the payee's endorsement on the Checks cashed by the Bank and (b) the undersigned shall at all times indemnify and hold harmless the Bank and its affiliates and agents from and against any and all claims, actions and suits of others arising from this Authorization or the compliance of the Bank with the terms hereof, and from and against any and all liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character arising by reason of the same. The authorization contained herein shall be and continue in full force and effect unless and until revoked or modified by written notice executed by the undersigned and actually received by the Bank, provided that such notice shall not affect any action taken by the Bank in reliance hereon prior to the receipt thereof and shall not, in any event, be effective until the Bank has had a reasonable time to act thereon after its receipt.
