AMENDMENT AGREEMENT This AMENDMENT AGREEMENT (Amendment") is dated as of October 12, 2015 and is made between DEUTSCHE RANK AG ("Party A") and SOUTHERN TRUST COMPANY, INC. ("Party B"). Party A and Party B have entered into an ISDA Master Agreement dated as of October 28, 2013, and the Credit Support Annex ("CSA") to the Schedule thereto (the "Agreement"); The panics agree to amend certain terms and provisions of the Agreement: In consideration of the mutual agreements contained in this Amendment, the panics agree as follows: I. Part 3 of the Schedule to the Agreement is hereby deleted in entirety and replaced as follows: "Pan 3. Agreement to Deliver Documents. (a) For the purpose of Section 4(a)(i), the documents to be delivered are: Party required to deliver Form/Document/ document Certificate Parry A Party it Party A and Party B A properly executed United States Internal Revenue Service Form W-9 (or any successor thereto), a United Stales Internal Revenue Service For W-SIMY and withholding statement with attached Form W-9 and a United States Internal Revenue Service Form W. *BIN tor any successor fonns thereto) A properly executed tinned States Internal Revenue Service Form W-9 (or any successor thereto). Any fonts required by the governmental or Ma mithormes in the Relevant Jurisdictions to be delivered relating to transactions under this Agreement, including forms required pursuant to section 1471(b) or section 1472.(bX I) of the Internal Revenue Code of 01 to any other domestic or international law or intergoveonnental agreement which brings Dare by which to be delivered (i) Upon execution of this Agreement, (ii) promptly upon reasonable demand by Patty B and (in) promptly upon learning that any such form previously provided by Pant' A has become obsolete or incorrect (i) Upon execution of this Agreement, pmmptly upon reasonable demand by Party A and (in) promptly upon teaming that any such form previously provided by Party B has become obsolete Or incorrect On or before the date such forms arc prescribed by law to he applied and otherwise at the time ot times reasonably requested by the other party, but in no event before the form and content of such forms or other documentation are made known by the IRS or Relevant Junsdiction tax authority CONFIDENTIAL - PURSUANT TO FED.
