AGP LP 519 Alpha Group Capital Paul Barrett EXECUTION Deutsche Asset & Wealth Management hereby authorizes the Funds to include in the Fund's private placement memorandum or other offering materials a description of each such Disqualifying Event; provided that the Deutsche Asset & Wealth Management shall be entitled to approve any such description in advance (with such approval not to be unreasonably withheld). For so long as Deutsche Asset & Wealth Management serves as a placement agent in respect of the Offering, Deutsche Asset & Wealth Management, agrees to use reasonable efforts not to cause or permit any Agent Covered Person who is subject to an actual or potential Disqualifying Event to participate in the Offering. Deutsche Asset & Wealth Management agrees to give the Funds prompt written notice in the event that any statement, certification, representation or warranty of Deutsche Asset & Wealth Management contained in the foregoing four paragraphs or any information provided herein (including Schedule A) ceases to be true at any time following the date hereof.
