SUMMARY The following is a summary of the more detailed information contained elsewhere in this Confidential Private Offering Memorandum (the "Memorandum") and is qualified in its entirety by reference to such information and to the Limited Partnership Agreement (the "Partnership Agreement"). The Partnership Management Investment Objective Alkeon Growth PW Partners, LP (the "Partnership") is a Delaware limited partnership designed for sophisticated investors. The principal office of the Partnership is located at 350 Madison Avenue, New York, New York 10017, telephone 212-716-6840. The Partnership invests substantially all of its assets through a "master-feeder fund structure in Alkeon Growth Master Fund, Ltd. (the "Master Fund"), a Cayman Islands exempted company. Each investment vehicle, including the Partnership, that invests in the Master Fund indirectly shares the expenses of the Master Fund pro rata based on its interest in the Master Fund. Alkeon Growth Offshore Fund, Ltd. (the "Offshore Feeder), a Cayman Islands exempted company, and other investment vehicles also invest their assets in the Master Fund. Unless otherwise indicated, references in this Memorandum to the investment activities of the Partnership mean the investment activities of the Partnership indirectly through its investment in the Master Fund; and other references to the Partnership may, to the extent appropriate, include both the Partnership and the Master Fund. The general partner of the Partnership is Alkeon Capital Advisers, LLC, a Delaware limited liability company (the "General Partner). The investment manager of the Partnership is Alkeon Capital Management, LLC, a Delaware limited liability company that is registered as an investment adviser with the Securities and Exchange Commission (the "Investment Manager"). Panayotis ("Takis") Sparaggis, the controlling person and Chief Investment Officer of the Investment Manager and the controlling person of the General Partner, serves as the Partnership's principal portfolio manager (the "Portfolio Manager) and as the lead member of the Investment Managers investment team. Other members of the investment team assist Mr. Sparaggis in his role as the Partnership's Portfolio Manager. The investment objective of the Partnership (through its investment in the Master Fund) is to achieve capital appreciation by investing primarily in long and short positions in publicly-traded and private companies globally, including technology stocks. The Partnership seeks to generate absolute returns by investing in the securities of companies that the Investment Manager believes can provide positive returns relative to the general equity securities market.
