Sent from my BlackBerry® wireless handheld From: "George Reenstra" Date: Wed, 9 Dec 2009 1 1:53:06 -0500 To Cc: George Reenstra SIK` Subject: Siti 750 Gennon, Howard H This e-mail will attempt to memorialize my conversations with Malcolm MacGregor representing Sikorsky and Larry Visoski representing Jeffrey Epstein. 1. Malcolm has a client interested in purchasing SIN 750 at a price of $12.1 million. The client cannot close on the aircraft until April 1, 2010. The client understands and accepts that the aircraft will deliver to him pre-owned with not more than 100 hours total flight time. 2. Air Ghislaine agrees to sell the aircraft for $12.1 million (paying a $100,000 commission to Aircraft Services). Air Ghislaine also agrees that as part of this agreement, it will order a new S-76C++ from Sikorsky Aircraft. 3. Sikorsky Aircraft will provide the total price and delivery date for the new aircraft asap. This will be done making the assumption that the new aircraft cannot begin completion until SIN 750 has closed and will be built identically to SIN 750. (This should eliminate any engineering issues since 750 is still in completion and all the engineering has been completed.) For ease of documentation all parties agree the contract of sale by Air Ghislaine shall be to Aircraft services and Aircraft Services shall sell the aircraft to Sikorsky. Air Ghislaine will prepare the contract for its side of the transaction and Sikorsky will prepare the contract for its side. If the parties would rather go direct, ASG has no objections. Please let me have each side's comments so we can move forward as I understand there are time constraints with regard to this transaction.
