THIS AGREEMENT is entered into this 17th da of Se tember 2019, between SigNet
Technologies, Inc., having offices located
Beltsville, MD 20705
(hereinafter called "Company"), and the United States Government, Department of Justice,
Federal Bureau of Investigation
ereinafter the "FBI"), having offices located at the
Engineering Research Facility
Quantico, Virginia, 22135.
WHEREAS, Company and the FBI possess certain information specified on Exhibits A and B
hereto, which is not available to the public, which Company and the FBI desire to protect against
disclosure or competitive use; and
WHEREAS, in order to facilitate discussions and analyses between Company and the FBI,
certain confidential and proprietary, technical, financial, business, and law enforcement sensitive
information may be disclosed by the FBI or Company,
NOW, THEREFORE, the parties agree to the following:
A.
DEFINITIONS
1.
The term "Information," as used in this Agreement, means business or law
enforcement data, including but not limited to all specifications, drawings, sketches, models,
samples, reports, plans, forecasts, current or historical data, computer programs or
documentation and all other technical and financial data.
2.
"Proprietary Information" is defined as information which is in the possession of
Company, is not generally available to the public, and which Company desires to protect against
unrestricted disclosure or competitive use. Proprietary Information includes, but is not limited
to, the information specified in Exhibit B of this agreement.
3.
"Law Enforcement Sensitive Information" is defined as information which is in
the possession of the FBI, is not available to the public, and which the FBI desires to protect
against unrestricted disclosure. It is information that, if disclosed, could harm or otherwise
impede investigative activities, investigative techniques, or other activities of the FBI. Law
Enforcement Sensitive Information includes, but is not limited to, the information specified in
Exhibit A of this agreement.
B.

1.
All information which is disclosed by Company to the FBI and which is to be
protected hereunder as Proprietary Information of Company shall:
a)
if in writing or other tangible form, be conspicuously labeled as Proprietary,
Confidential or the like at the time of delivery and contain this statement: "Not to
be disclosed or used outside the FBI except with written approval from Company";
b)
if oral, be identified as Proprietary Information at the time of disclosure and, if
subsequently reduced to writing by either party, the writing shall be labeled as
indicated in section B(1Xa) above.
Company shall have the right to correct any inadvertent failure to designate information as
Proprietary Information by written notification to the FBI. After receiving said notification, the
FBI shall from that time forward treat such information as Proprietary Information and shall
protect such Proprietary Information.
2.
All information which is disclosed by the FBI to Company and which is to be
protected hereunder as Law Enforcement Sensitive Information shall:
a)
if in writing or other tangible form, be conspicuously labeled as Law Enforcement
Sensitive or the like at the time of delivery and contain this statement: "This
information includes data that should not be disclosed outside Company without
written approval from the FBI";
b)
if oral, be identified as Law Enforcement Sensitive Information at the time of
disclosure and, if subsequently reduced to writing by either party, the writing shall
be labeled as indicated in section B(2Xa) above.
The FBI shall have the right to correct any inadvertent failure to designate information as Law
Enforcement Sensitive by written notification to Company. After receiving said notification,
Company shall from that time forward treat such information as Law Enforcement Sensitive
Information and shall protect such Law Enforcement Sensitive Information.
C.
1.
All disclosures of Proprietary or Law Enforcement Sensitive Information between
the parties pursuant to this Agreement shall be made by or under the supervision of the
Designated Coordinator for each party. Such Coordinators are identified in section G.

Information provided hereunder, the FBI shall treat such information in the following manner:
a)
restrict disclosure of Proprietary Information to only those FBI employees and other
Federal employees who have a need to know the information and who have
indicated their agreement to be bound by the obligations of this Agreement as
evidenced by their signature on the form attached hereto as Exhibit C;
b)
restrict disclosure of Proprietary Information to only its agents, advisors,
consultants, contractors and/or subcontractors who have a need to know the
information and who have indicated their agreement to be bound by the obligations
of this Agreement as evidenced by their signature on the form attached hereto as
Exhibit C;
c)
contest disclosure to any third party pursuant to any Freedom of Information Act
request for disclosure of Company Proprietary Information and notify Company in
writing of any such request.
3.
The obligations imposed upon the FBI herein shall not apply, whether or not
designated as Proprietary Information, to:
a)
b)
information rightfully received from a third party without restriction and without
breach of this Agreement;
information independently developed by the FBI without use of Company Proprietary
Information;
c)
information disclosed without similar restrictions to a third party by Company;
d)
information approved in writing by Company for disclosure;
e)
information required to be disclosed by the FBI pursuant to statute, regulation, or a
valid order of a court; provided, however, the FBI shall have first given notice to
Company and made an effort to obtain a protective order.
4.
Subject to the provisions of section C(5) with respect to any Law Enforcement
Sensitive Information provided hereunder, Company shall treat such information in the following
manner:
a)
restrict disclosure of Law Enforcement Sensitive Information to only those
Company employees who have a need to know the information and who have
indicated their agreement to be bound by the obligations of this Agreement as
evidenced by their signature on the form attached hereto as Exhibit C;
b)
restrict disclosure of Law Enforcement Sensitive Information to only its agents,

advisors, consultants, contractors and/or subcontractors who have a need to know
the information and who have indicated their agreement to be bound by the
obligations of this Agreement as evidenced by their signature on the form attached
hereto as Exhibit C;
c)
advise all Company employees and non-Company employees who have access to
the Law Enforcement Sensitive Information of the obligation to protect Law
Enforcement Sensitive Information provided hereunder and, as mentioned in
sections C(4Xa) and C(4)(b) above, obtain the agreement of all Company and non-
Company employees to be so bound as evidenced by their signature on the form
attached hereto as Exhibit C;
d)
use the Law Enforcement Sensitive Information provided hereunder only for
purposes directly related purpose of the information exchange;
5.
The obligations imposed upon Company herein shall not apply to information
whether or not designated as Law Enforcement Sensitive Information, which is:
a)
rightfully received from a third party without restriction and without breach of this
Agreement;
b)
independently developed by Company without use of Law Enforcement Sensitive
Information;
c)
disclosed without similar restrictions to a third party by the FBI;
d)
approved in writing by the FBI for disclosure by Company;
e)
required to be disclosed by Company pursuant to statute, regulation, or a valid order
of a court; provided, however, Company shall have first given notice to the FBI and
made an effort to obtain a protective order.
D.
1.
Nothing contained in this Agreement shall be construed as granting or conferring
any rights by license in any Proprietary Information disclosed to the FBI or in any Law
Enforcement Sensitive Information disclosed to Company. All Proprietary Information shall
remain the property of Company and shall be returned by the FBI to Company upon written
request. Likewise, all Law Enforcement Sensitive Information shall remain the property of the
FBI and shall be returned by Company to the FBI upon written request. If the parties hereto
decide to enter into any licensing arrangement regarding any Proprietary Information or present

or future patent claims disclosed hereunder, it shall be done only on the basis of a separate
written agreement between them. No disclosure to the FBI of any Proprietary Information
hereunder shall be construed to be a public disclosure of such Proprietary Information by
Company for any purpose whatsoever. No disclosure to Company of any Law Enforcement
Sensitive Information hereunder shall be construed to be a public disclosure of such Law
Enforcement Sensitive Information by the FBI for any purpose whatsoever.
E.
1.
The furnishing of any Proprietary or Law Enforcement Sensitive Information
hereunder shall not obligate Company or the FBI to enter into any further agreement or
negotiation or to refrain from entering into an agreement or negotiation with any other party,
provided that an agreement with any other party complies with this non-disclosure Agreement

In the event the FBI discloses, disseminates, or releases any Proprietary Information
received from Company, except as provided in this Agreement, such disclosure, dissemination or
release will be deemed a material breach of this Agreement and Company may demand prompt
return of all Proprietary Information previously provided to the FBI. The provisions of this
paragraph apply in addition to any other legal rights or remedies the parties may have under
Federal law.
2.
In the event Company discloses, disseminates, or releases any Law Enforcement
Sensitive Information received from the FBI, except as provided in this Agreement, such
disclosure, dissemination or release will be deemed a material breach of this Agreement and the
FBI may demand prompt return of all Law Enforcement Sensitive Information previously
provided to Company. The provisions of this paragraph apply in addition to any other legal
rights or remedies the parties may have under Federal law.

Each party may change its Designated Coordinator at any time during the term of this Agreement
by notifying the Designated Coordinator for the other party in writing.
H.
1.
This Agreement constitutes the entire agreement between the parties and supersedes
any prior or contemporaneous oral or written representation with regard to the subject matter
hereof. This Agreement may not be modified except by a writing signed by both parties.
2.
This Agreement shall be effective from Q9/18 , 2019 through 09/18 , 2020,
unless amended, in writing, by mutual written agreement of the parties. Notwithstanding the
above, the provisions concerning non-disclosure of Proprietary and Law Enforcement Sensitive
Information received under this Agreement shall survive expiration of the term of this
Agreement.
3.
Upon the request of Company or after the term of this Agreement, whichever is
sooner, the FBI shall cease use of all Proprietary Information received from Company and shall
destroy all such information, including copies thereof, and shall furnish Company with written
certification of destruction, or, upon Company's request, shall return such information to
Company.
4.
Upon the request of the FBI or after the term of this Agreement, whichever is
sooner, Company shall cease use of all Law Enforcement Sensitive Information received from
the FBI and shall destroy all such information, including copies thereof, and shall fumish the FBI
with written certification of destruction, or, upon the FBI's request, shall return such information
to the FBI.
5.
Information may have been disclosed by Company to the FBI prior to the effective
date of this Agreement pursuant to the terms of a prior non-disclosure or similar agreement
between the parties and the disclosure of said information was restricted (whether termed
Confidential Information, Proprietary Information, or a similar term) under such agreement.
Said information shall retain that status and shall be treated as Proprietary Information by the
FBI under the terms of this Agreement without further action on the part of Company.
6.
Information may have been disclosed by the FBI to Company prior to the effective
date of this Agreement pursuant to the terms of a prior non-disclosure or similar agreement
between the parties and the disclosure of said information was restricted (whether termed Law
Enforcement Sensitive Information, Law Enforcement Sensitive Information, or a similar term)
under such agreement. Said information shall retain that status and shall be treated by Company
as Law Enforcement Sensitive Information under the terms of this Agreement without further
action on the part of the FBI.

GOVERNING LAW
1.
This Agreement shall be governed by Federal law.

1.
Nothing in this Agreement shall prevent the FBI from using information received
under this Agreement to pursue an investigation, or respond to a Congressional request or
subpoena.

SUMMARY OF INCIDENT: (Provide a brief, but complete summation of incident
including names of any witnesses)
On August 10, 2019, at approximately 6:33 a.m. inmate Epstein, Jeffrey
73618-054 was found unresponsive in his assigned cell in the Special Housing
Unit. Inmate Epstein was pronounced dead at 7:36 a.m. by the Emergency room
physician at the local hospital. During a conversation with the Operations
Lieutenant, Officer Noel stated that she and Officer Thomas did not conduct

On August 10, 2019 at approximately 6:33 A.M. The Special housing unit Shu#1 Officer T. Noel announced by via
radio medical emergency on 9 South upon arrival, officer Noel stated to me that inmate Espstein had hung himself.
As I entered cell Z06-220 on L-tier, I witnessed inmate Epstein on the floor of his cell unresponsive with Shu#2
officer M. Thomas performing life- saving CPR on him. I immediately relieved him and begin administering CPR
continuously until relieved by clinical nurse J. Columbo who continued to perform CPR. I then notified the control
center to call 911 emergency services at 6:35 a.m.; CPR was being continuously administered as inmate Espstein
was escorted to the 2nd FL. Health Service Area, while in the medical area I witnessed nurse continuously
performing CPR on inmate Epstein until relieved by EMT staff at 6:43 am. Inmate Epstein #76318-054 was escorted

PURPOSE: To establish procedures for implementing Bureau of Prisons Program Statfement
5502.10, Duty Officers.

DIRECTIVES AFFECTED: Directives rescinded: Institution Supplement 5502.10b, Duty
Officers, dated December 16, 2014. Directives Referenced: Program Statement 5502.11 Duty
Officers, dated September 26, 2016.
3.
POLICY: To make available an Administrative Duty Officer (ADO) and Institution Duty Officer
(IDO), as designated by the Warden, to whom emergency calls will be directed during ther than
normal working hours, on holidays and weekends.
4.
IMPLEMENTATION: The Executive Staff, (to include the Captain) will rotate weekly as
Administrative Duty Officer. The ADO will be the liaison between the IDO and the Warden.
Department Heads and others designated by the Warden will rotate weekly in the Institution Duty
Officer position and be provided with a roster, which will indicate each tour of duty. The IDO must
be on call for any incident, which may occur and report any pertinent facts to the ADO!
5.
ADMINISTRATIVE DUTY OFFICER: In addition to other responsibilities described in this
Institution Supplement, the ADO is to make himself/herself available by telephone during off duty
times. In the event that the ADO is absent from his/her residence during off duty times. he/she must
be accessible through the cell phone assigned to each individual serving as ADO. Should the
scheduled ADO be unable to remain accessible for any period of the tour, he/she must arrange
coverage through some other participant in the ADO rotation and inform both the 100 and
the Shift Lieutenant of the substitution. The work schedule of the ADO is not altered during this
rotational assignment.
6.
EOUIPMENT AND MATERIALS: The 1DO will be provided with a kit, which includes a
current IDO schedule, names and telephone numbers of personnel and regional officials to be
contacted in

case of specific incidents and general emergencies, relevant program statements, guidelin and
instructions. A thermometer will be provided to check the temperature of the food upon elivery to
the units. A radio will be available in the control center (marked D.O.) and the cellular t lephone
will be exchanged by the Duty Officers.
7.
RESPONSIBILITIES: Each DO will serve for one week. The Duty Officer will asses
responsibility at noon on Tuesday and be relieved at noon the following Tuesday. The Di
exchange will take place every Tuesday in the Executive Assistant's Office at 1:00 p.m.
will be ready for signature and presented to the Executive Staff during the regularly sche
exchange in the Warden's Office on Tuesday.
Additionally, the Institution Duty Office
with the Executive Staff on Friday at 1:00 p.m. The shift supervisors on all shifts will
fully abreast of any unusual developments within the institution. The IDO is responsibl

Incidents occurring during regular duty hours will be immediately reported to the
Correctional Services Administrator in the Northeast Regional Office by the Cap n.
Incidents occurring during non-business hours shall be promptly reported to the egional
Duty Officer by the 00 (See Attachment 1 and 7 - Guidelines for Duty Officer r porting to a
higher level and Northeast Region Reporting Guidelines).
This contact will be made only after first notifying the ADO of the incident.
B.
The Duty Officer Incident Report form (Attachment 2) should be utilized by the DO and the
ADO when recording and relaying information regarding reportable incidents.
10.
MEDIA CONTACTS: Calls from the media will be processed during business hours b the Warden
or the institution Public Information Officer (PIO), i.e., the Executive Assistant. Calls hould be
processed in a professional manner and as expeditiously as possible. Information regars ing Bureau
policy and that that is considered public information concerning inmates should be give in a
cooperative manner. The PIO is responsible for issuing press releases approved by the Warden.
Under no circumstances will a press release; be issued by any employee other than the

11.
ADDITIONAL RESPONSIBILITIES: During the assigned week, the Institution D ty Officer
will be responsible for the following:
Review all inmate programs in progress.
Review Institution Operating Procedures with special attention to security on weekend , holidays,
and after normal duty hours, i.e., unit doors being secured, inmate accountability being appropriately
maintained, etc.
Review the condition of the building and grounds.
Evaluate the relationship that exists between staff and inmates and report any concern
Review utilization of staff.

Evaluate the quality of Food Service operations (quality of food, cleanliness of preparatio and
serving areas); security of tools and knives; and proper uniforms for staff and inmates).
Make daily tours of Administrative Detention and Disciplinary Segregation, including U it 10
South. Review daily the Special Housing BP-292, pay special attention to the security
cedurcs
and sanitation of the unit.
Tour each area of major activity or special interest daily, as well as areas in the institution where
inmates are present.
Make daily tours outside the MCC to ensure compliance with the parking directives.
Observe inmate visiting.
Observe at least one institution count, usually the 4:00 p.m.
Test the locator center, a minimum of three times. One test of each shift should be con ucted.
Inmate names and register numbers can be obtained from the Case Management Coordi for (CMC).
Use the attached form (Attachment 3) to report the findings to the CMC.
Visit designated BOP inmates who are hospitalized in a community hospital, a minimu of once per
tour.
Review and sign the institution Emergency Plans.
Inspect the Command Center to ensure equipment is operational.
The duty officer report (Attachment 4) will be prepared and ready for review by the E ecutive Assistant
prior to the duty officer exchange on Tuesday. A Commissary Sales report, to includ
prior week's
sales, average pay week sales and current week will be included in the report. The co
issary sales
calculations will begin with the Monday prior to beginning the tour of duty and closin with Friday.
Evaluate the sanitation levels throughout the building to include all Departments. As per Program
Statement 1600.09 Occupational Safety, Environmental Compliance, and Fire Protect on, Duty Officers
must fill out the Institution Fire/Safety and Sanitation Inspection Form (BP-0506.016 dated November
2007 (Attachment 5).
Conduct unannounced PREA rounds on every shift (MW, DW, and EW) and in all I. ations of the
institution. The Duty Officer will also place the times and locations they rounded on the PREA
unannounced worksheets and will attach this worksheet to the weekly duty officer re on (must be hand

In order to have an effect on the deterrence of staff sexual abuse and sexual harass nt, unannounced
rounds will be conducted on a regular basis, weekly and on all shifts by intermediate and supervisory
staff. Staff are prohibited from alerting other staff members that these supervisor rounds are
occurring, unless such announcement is related to the legitimate operational functions of the facility.
Instructions: At the top of the form, fill in the date affecting the week of your tour of duty. As you

has worked at other BOP facilities where a nighttime Lieutenant is
scheduled.
All BOP employees are required to participate in an annual refresher
training. The last training was held at 26 Federal Plaza in New York, NY.
There is also quarterly training for new corrections officers assigned to
the SHU and others who are mandated to attend. Suicide prevention is one of
the topics discussed during the training. The training discusses the signs
of suicide, and what an employee should do if an inmate attempts or
successfully commits suicide. The details of these trainings are found in
post orders which are displayed at MCC.
had not heard about EPSTEIN until he arrived at MCC as an inmate.
was not working at the time of EPSTEIN's attempted suicide, and was
told about the incident afterwards. Standard practice at MCC is that if an
inmate is placed on suicide watch, a cellmate will be placed with that
inmate. The psychology unit gives corrections officers a hot list which
lists the names of any inmates who are on suicide watch and require a
cellmate.
EPSTEIN was placed on suicide watch, was brought upstairs to the SHU, and
discussions began about who EPSTEIN's cellmate would be.

and the tenth floor of MCC via a staircase. Corrections officers can take an
elevator from the ninth floor to the eleventh floor, but it does not stop at
the tenth floor. The tenth floor is not a full floor, and is similar to an
attic. There are bathrooms for the use of corrections officers on the ninth
and tenth floors. Female corrections officers mostly use the tenth floor
bathroom because it is more comfortable and private. Corrections officers
pick up the house phone and have the control unit open the doors for them to
access the bathroom and to complete their rounds.
also explained that overtime during the nighttime shift for
corrections officers in the SHU is not often sought after. This is because
it requires officers to be mobile and to prepare the paperwork for the
morning shift.
