THE MBZ NEWS 1992 TRUST Administrative Amendment WHEREAS, the undersigned Eric Gertler, James Gertler, and M. Gordon Ehrlich (the "Trustees") are all of the trustees of The MBZ News 1992 Trust dated December 29, 1992 (the "Trust") and qualify as a Disinterested Trustee, as defined in the Trust; and WHEREAS, Article I of the Trust provides that the Disinterested Trustees may modify the provisions of the Trust if such modification is necessary or desirable for tax or administrative reasons, and so long as the beneficial interests thereunder are not materially affected thereby; and WHEREAS, the Trustees have determined that it would be desirable for administrative reasons to change the governing law of the Trust. NOW, THEREFORE, the Trust is hereby modified by deleting the last paragraph of Article XIII thereof and substituting therefore the following: This trust is created under and shall in all respects be governed by the laws of the Commonwealth of Massachusetts.
