DecoSign Envelope ID: FA91CC39.2AEC•4FC0•A7FF•2247C69187FD AliphCom 99 Rhode Island Street, r i Floor San Francisco, CA 94103 September 2012 To: Certain Purchasers of Series 5 Preferred Stock in AliphCom Re: Major Investor Rights Ladies and Gentlemen: This letter will confirm our agreement that, subject to and in consideration of the purchase of shares of Series 5 Preferred Stock and Common Stock, $0.001 par value (the "Capital Stock"), of AliphCom, a California corporation (the "Company"), by Mort, Inc., Hedosophia Alpha Limited and Apoletto Limited (the "Purchasers"), and so long as the Purchasers or their affiliates continue to collectively hold at least 2,000,000 shares of Capital Stock (as adjusted to reflect stock splits, stock dividends, recapitalizations and the like), the Purchasers, and each of them, shall be entitled to all of the rights given to a "Major Investor" under that certain Sixth Amended and Restated Investors' Rights Agreement, dated June 16, 2011, as amended, by and among the Company and the Investors party thereto, as it may be amended, waived or supplemented from time to time (the "Rights Agreement"), subject to the confidentiality and other restrictions set forth in the Rights Agreement, and subject to the termination provisions set forth in the Rights Agreement. This letter shall be governed by the laws of the State of California, without regard to conflict of law principles. Any term of this letter may be amended only with the written consent of the Company and Purchaser.
