UNANIMOUS WRITTEN CONSENT OF DIRECTORS IN LIEU OF METING The undersigned, being an of the directors of Jeepers, Inc., a United States Virgin Islands Corporation (the "Corporation"), do hereby consent, in lieu of holding a meeting, to the adoption of the following resolutions and the taking of all action required or permitted thereby: WHEREAS, the Corporation was duly formed in the United States Virgin Islands on August 18, 2003; and WHEREAS, the principal office of the Corporation is 41-42 Kongens Gade, St. Thomas, U.S. Virgin Islands 00802; and WHEREAS, the Corporation desires to change the physical and mailing address of the principal office to 9100 Port of Sale Mall, Suite 15, St. Thomas, U.S. Virgin Islands 00802; and WHEREAS, the name and address of the Corporation's current agent for service of process is Maria Tankenson Hodge, 1340 Taameberg, St. Thomas, U.S. Virgin Islands 00802; and WHEREAS, the Corporation desires to change the agent for service of process to Business Basics VI, LLC; and WHEREAS, the physical and mailing address of the new agent, Business Basics VI, LLC, is 9100 Port of Sale Mall, Suite 15, St. Thomas, U.S. Virgin Islands 00802.
