ASSIGNMENT

ASSIGNMENT KNOW ALL PERSONS BY THESE PRESENTS THAT: Effective as of February 5, 2013 (the "Effective Date"), for good and valuable consideration, the receipt of which is hereby acknowledged by ZORRO TRUST, having an address at 49 Zorro Ranch Road, Stanley, NM 87506 (the "Assignor"), from CYPRESS, INC., a United States Virgin Islands corporation having an address at 49 Zorro Ranch Road, Stanley, NM 87506 (the "Assignee"), the Assignor does hereby assign, transfer, set over, and convey to the Assignee, its successors and assigns, all of the Assignor's right, title and interest in and to the following described property (the "Assigned Property"): That certain New Mexico Environment Department Discharge Permit DP- 1452 with respect to the Dakota Well water treatment facility located on the property known as Zorro Ranch. To have and hold the Assigned Property unto the Assignee, its successors and assigns, now and forever, to the Assignee and the Assignee's own use. This Assignment shall be governed by, and construed in accordance with, the laws of the State of New Mexico applicable to contracts executed and to be fully performed therein.
