Requirements for Voluntary Withdrawal of
Foreign Corporations and LLCs
If an entity decides to cease operations and
voluntarily withdraw its foreign registration
from a state, it should follow the statutorily
prescribed procedures in that state for
completing the withdrawal. The laws vary
from state to state, and by entity type. In
addition, you may need to file for a tax
clearance to complete the process. If these
rules are not followed, an entity may find
itself liable for ongoing filings as well as
continuing fees, penalties and interest.
