Livermore Strategic Opportunities LP has acquired an aggregate of 8,002,000 common shares of Jadestone Energy Inc. On Nov. 7, 2017, Livermore Partners acquired eight million shares pursuant to a private sale transaction and acquired 2,000 shares through the facilities of the TSX Venture Exchange. The shares were acquired on behalf of certain investment funds and managed accounts that Livermore Partners manages. Immediately prior to the transaction, Livermore Partners had control and direction of an aggregate of 21,573,569 shares, representing approximately 9.75% per cent of the issued and outstanding shares on a non-diluted basis. Immediately after the transaction, Livermore Partners had control and direction of an aggregate of 29,575,569 shares, representing approximately 13.36% per cent of the issued and outstanding shares on a non-diluted basis. Livermore Partners acquired the shares for investment purposes and may acquire additional securities or dispose of existing securities of the issuer, in the market or privately, from time to time as circumstances warrant. Livermore Partners LLC exercises, or is deemed to exercise, control or direction over the shares in its capacity as portfolio manager of Livermore LP.
