FREEDOM AIR INTERNATIONAL, INC. CERTIFICATE OF DARREN K. INDYKE The undersigned, Darren K. Indyke, for and on behalf of Freedom Air International, Inc., a dissolved Delaware corporation (the "Company"), hereby certifies as follows: 1. I am legal counsel to and the Vice President of the Company, and as such, am duly authorized to execute this Certificate and give the certifications, directions and hold harmless provided for herein. 2. The Company, which was originally incorporated under the name Air Ghislaine, Inc., was a limited liability vehicle that held title to aircraft. 3. After the last aircraft owned by the Company was sold, the Company ceased operations and was subsequently dissolved on December 19, 2012. 4. In connection with the dissolution of the Company, any and all outstanding debts were paid, and all assets held by the Company, with exception of its credit with Helicopter Support, Inc. ("HSI"), which the Company's representative, Larry Visoski, has been advised by HSI is in the amount of $12,626.40 (the "Credit"), were distributed through the Company's then sole stockholder FSF, LLC, to its ultimate beneficial owner, the sole member of FSF, LLC, Mr. Jeffrey Epstein. 5. As of the date hereof, there are no outstanding debts, nor to my knowledge any claims, pending or threatened, against the Company that would preclude HSI's compliance with a direction from me, as Vice President of the Company, as to the disposition of the Credit 6. As Vice President of the Company, I hereby authorize and direct HSI to transfer the Credit to Associated Aircraft Group, Inc. for the use and benefit of Mr. Jeffrey Epstein, Hyperion Air, LLC, JEGE, LLC, JEGE, Inc. or any other entity affiliated with Mr. Jeffrey Epstein, all as may be directed at any time and from time to time by Mr. Epstein's authorized representative, Larry Visoski. 7. As Vice President of the Company, I hereby agree to hold HSI harmless for all or any portion of the Credit based on any and all claims asserted against HSI on the grounds that neither I nor the Company had any authority to direct the 1 EFTA00583303 transfer of the Credit as provided in paragraph 6 above or on grounds that the claimant has a right to all or a portion of the Credit superior to the right of the Company or its beneficial owner to the Credit IN WITNESS WHEREOF, I have executed this Certificate this 23rd day of July 2014.
