REVOCATION OF DECLARATION OF TRUST Leon D. Black 1997 Revocable Declaration of Trust WHEREAS, by Declaration of Trust (the "Declaration of Trust") dated September 30, 1997, Leon D. Black, as Settlor (the "Settlor") and Trustee, created a revocable trust, called the "Leon D. Black 1997 Revocable Declaration of Trust"; and WHEREAS, by instrument dated December 9, 1997, the Settlor amended the Declaration of Trust; and WHEREAS, by Article III of the Declaration of Trust, the Settlor reserved the right to alter, amend, revoke or terminate the Declaration of Trust, in whole or in part, at any time and from time to time, by instrument in writing signed by the Settlor and duly acknowledged, and delivered prior to the Settlor's death to the Trustees other than the Settlor, or if the Settlor is the only Trustee acting, to the successor Trustees designated in Article XIX (A)(1) of the Declaration of Trust; and WHEREAS, the Settlor currently is the sole Trustee serving under the Declaration of Trust; and WHEREAS, in Article XIX (A)(1) of the Declaration of Trust, the Settlor designated Debra R. Black, Barry J. Cohen, John J. Hannan and Richard Ressler as successor Trustees; and WHEREAS, the Settlor, in accordance with his reserved power under Article III of the Declaration of Trust, wishes to revoke the Declaration of Trust in its entirety. Does: USI:8595592v2 EFTA00585151 NOW, THEREFORE, pursuant to the provision of Article III of the Declaration of Trust, the Settlor hereby revokes the Declaration of Trust in its entirety by delivering this instrument to Debra R. Black, Barry J. Cohen, John J. Hannan and Richard Ressler, the successor Trustees designated in Article XIX (A)( I) of the Declaration of Trust. Dated: , 2013 LEON D.
