LETTER OF INTENT From: W. MARSH & CO. ACQUISITIONS, 1 Bridge Plaza n, Ste.275, Fortlee NJ. 07024 WILLIAM P. MARSH (Buyerl To: Equus Global Aviation West Palm Beach Florida Gary Ample ("Seller") Re: Letter of Intent to purchase aircraft 1964 Boeing 727-100 N908JE MSN 20115 Registration. Equus Global Aviation LLC.. hereby issues its Letter of Intent of its offer to purchase the above- referenced aircraft for the amount of $2 ,595.00USD ($2,595,000.00USD) U.S. Dollars, subject to the following: 1. An inspection by PURCHASER of the Aircraft and its logs and records to insure the aircraft is as represented and suitable of use in the PURCHASER'S operation. This Inspection will be conducted in Ocala Florida at future time where the Aircraft is housed. 2. A Pre-purchase Inspection and Flight Test of the aircraft at PURCHASER'S expense and to PURCHASER'S sole satisfaction no later than November 30, 2015. Such inspection to be performed by a mutually agreeable maintenance facility. 3. The aircraft shall be delivered with all flight, maintenance and parts manuals, weight and balance documents, wiring diagrams, engine and aircraft records, spare parts and related equipment in Seller's possession. 4. The aircraft shall be delivered in airworthy condition, with all systems working properly in accordance with the manufacturer's maintenance manuals. 5. This aircraft shall be delivered on or before December 18, 2015. 6. The offer will expire at 5:00pm. EST on Wednesday November 30, 2015. 7. The aircraft and its engine shall be delivered free of liens and encumbrances. 8. The aircraft shall be delivered with no damage history. PURCHASER and SELLER both agree shall use their best efforts to execute a formal Purchase Agreement, which shall supersede this Offer to Purchase within Seven (7) business days of the execution of this contract. Upon execution of this offer and satisfactory the PURCHASER shall immediately place a refundable $299,000.USD. Deposit in November 30, 2015, subject to inspection and acceptance of the aircraft with IATS in Oklahoma City, Oklahoma. Sincerely, William P.
