GRANT OF AUTHORIZATION

GRANT OF AUTHORIZATION The Undersigned, Jeffrey E. Epstein, being the sole member of Michelle's Transportation Company., LLC, a limited liability company organized under the laws of the Territory of the United States Virgin Islands (the "Company") which is the owner of record title to a certain motorized 74' barge and known as "Bertha" (the "Vessel") hereby authorizes W. John Amerling, 6501 Red Hook Plaza, Suite 201, St. Thomas VI, 00802, for, on behalf of, and in the name of the Company, to execute all such applications, affidavits, permits, and other documents, and to pay such costs, fees and expenses, and to take all such other action, as may be necessary, appropriate, and/or desirable to register and document the Vessel for private, non commercial use as a pleasure or recreational Vessel or for the Member's private affairs within the Territory of the United States Virgin Islands, Puerto Rico, or the British Virgin Islands with: (i) the United States Coast Guard ; (ii) the Department of Planning and Natural Resources of the United States Virgin Islands; and/or (iii)any other agency of a Territory or Commonwealth of the United States or the British Virgin Islands which has jurisdiction over the operation and use of the Vessels in the navigable waters of the Territory, Puerto Rico, and the British Virgin Islands.
