LAW OFFICES OF TONJA HADDAD. PA RETAINER AGREEMENT CLIENT: Jeffrey Epstein MATTER: Civil Litigation Matter DATE: March 13, 2012 You have contracted with Tonja Haddad Coleman of the LAW OFFICES OF TONJA HADDAD, PA to act as counsel in reference to the above-captioned matter, and this document sets forth the agreement concerning each parties' obligations and duties hereunder. This shall become effective upon your signature of this document and receipt of the retainer fee as indicated below. Due on or before , is the sum of $10,000.00, which represents the retainer amount to be held in our trust account and billed against at the rate of $385.00 per hour for the legal services Tonja Haddad Coleman, Esq., at the rate of $125.00 per hour for legal services performed by associates, and against any costs incurred on your behalf. This hourly billable rate is exclusive of costs or expenses which may be incurred in this matter. Expenses may include, but are not limited to, investigation costs, filing fees, recording costs, out of town travel expenses, delivery charges, special postage (express mail, certified mail, and the like), court costs (such as service of process, newspaper publication, recording fees, etc.), accounting and appraisal fees, fees and expenses of experts necessary to assist in the preparation and hearing of your case. You will also be responsible for all government-imposed taxes on fees and costs. We do NOT charge for long distance phone calls, regular postage, facsimiles, computer research charges, or photocopies (unless an outside company must be hired to complete same). Once the Trust Account balance is depleted, you will be required to submit an additional retainer check payable to our Trust Account to cover future fees. We reserve the right to increase our hourly rates at the end of each calendar year. You will be charged for fees as our legal services are provided. Monthly statements will be furnished to you, and you will be required to submit all amounts owed within thirty (30) days of receipt of same. Failure to do so will result in a breach of this matter, and you will be responsible for any costs or fees associated with our collection of same. We also reserve the right to immediately withdraw from representation of you if you fail to pay. Interest will be charged and added to the balance of your account to the extent that your account remains unpaid thirty (30) days after the rendering of periodic billing for said account. Interest will be charged at the rate of 1.5% per month (18% per annum). Our policy is to submit bills on a monthly basis, reserving the right to raise our hourly fees at the beginning of each calendar year, as stated above. You certify that any and all payments including but not limited to cash, assignments, collateral, checks, negotiable instruments, or any other item given to the LAW OFFICES OF TONJA HADDAD, PA is legitimate and lawful and not the product or by-product, whether direct or indirect, of any criminal, civil, illegal or unlawful act or omission or enterprise. You acknowledge that the LAW OFFICES OF TONJA HADDAD, PA, has made no guarantees or promises conceming any phase of this matter including but not limited to any possible outcome, disposition, civil and/or criminal consequence, total fees, advances, or costs, time to complete this matter, or anything else relating directly or indirectly to our firm's involvement in this matter, other 1 EFTA00590202 than the fact that we will use our best legal skill and knowledge in connection with your representation as required by Rule 4-1.5 of the Rules Regulating the Florida Bar. It is understood that this contract is the entire agreement concerning fees, advances, and costs, and that no other expressed or implied representations have been made. You further understand that your signature will acknowledge that this is a legal, binding contract between you and the LAW OFFICES OF TONJA HADDAD, PA. Before signing this contract, please read it carefully and be sure you understand all of the contents. If there is anything you do not understand, ask about it. You further acknowledge that you have received a copy of this contract by your signature below, and that work will not commence on your case until a signed copy of this Agreement and a Retainer Check payable to our Trust Account is received. I will always make myself available to discuss my role in your case so that you are always fully informed as to the status of your matter. BEFORE SIGNING, PLEASE READ IT CAREFULLY AND BE SURE YOU UNDERSTAND ALL OF THE CONTENTS. IF THERE IS ANYTHING YOU DO NOT UNDERSTAND, ASK ABOUT IT.
