ASSIGNMENT OF AGREEMENT

ASSIGNMENT OF AGREEMENT KNOW ALL MEN BY THESE PRESENTS that the undersigned, MARK 21 INDUSTRIES, INC. (herein called the "Assignor"), a Virgin Islands rporation and the successor by merger to Hans Lollik rporation, hereby transfers, assigns, conveys and sets over unto YCE M. GREESON, AS TRUSTEE OF THE HANS LOLLIK TRUST (herein lied "Assignee"), all right, title and interest of Assignor u der and pursuant to that certain Agreement dated April 1, 1964,  corded June 5, 1967 in Book 8-V, Page 135 as Document No. 2924, a amended on July 21, 1965, recorded August 18, 1965 in Book 7- X, P ge 300 as Document No. 3483, and further amended on May 4, 1967,  corded May 22, 1967 in Book 8-U, Page 310 as Document No. 2471 ( ollectively called the "Agreement"), between the Government of t e Virgin Islands and the Assignor, relating to the following p operty: Big Hans Lollik Island, a/k/a Great Hans Lollik Island, No. 10 Great Northside Quarter, St. Thomas. U.S. Virgin :slands; and The Mandahl Pond Area on St. Thomas described as Plot No. 33 of Estate Mandahl, Great Northside Quarter, consisting of 24.0207 U.S. Acres, more or less, as shown on MM. No. A3-25-T36 dated September 16, 1936; TO HAVE AND TO HOLD said Agreement to the Assignee, its suc- c sots and assigns forever; SUBJECT, HOWEVER, to the assumption by the Assignee of all ob igations of the Assignor under said Agreement. THIS ASSIGNMENT OF AGREEMENT is executed and delivered for th purpose of removing any ambiguity from that certain Assignment of Lease dated May 27, 1981 from Hans Lollik Corporation to As ignee, recorded June 3, 1981 in Bock 22-M, Page 100, as Do ument No. 1921, as the parties thereto intended that all right, ti le and interest of Hans Lollik Corporation under and pursuant to the Agreement was to be assigned to Assignee.
