Eill Hide 1-0 KITCHENS + DESIGN RETAINER AGREEMENT Date: March 5, 2010 Project: St. Thomas SNAIDERO USA NY 150 E 58 ST Tri-I FLOOR Client: Douglas Schoettle NEW YORK. NY 10155 Cell: E-mail: Purchaser agrees to pay $ 15,000 for the design of the following spaces: For the fee as set forth, Snaidero USA NY will verify site measurements, investigate various approaches and create a design and layout for the client based upon their desires and needs within the available space. The design will include three (3) sets of complete and detailed blueprints and specifications for the project. It is understood that the original drawings and design will remain the property of Snaidero USA NY. The Retainer shall be earned by Snaidero upon delivery of the drawings and design. The Client is not obligated to purchase cabinetry from Snaidero USA NY. However, if the Client and Snaidero USA NY. enter into a Purchase Agreement for the project, the Retainer shall be applied as a credit to the Purchase Agreement. Addendum: based on pricing of the proposal dated 03-05.10 and delivery schedule of 18-20 weeks from final design approval and execution of a mutually agreeable contract, any changes in base pricing exceeding five percent (5%) range, or delivery schedule may upon the option of the purchaser negate this agreement and sixty percent (60%) of the retainer refunded. However, Snaidero USA NY shall not be responsible for damages, delays, or inability to complete the agreement resulting from acts of God, strikes, fires, accidents, inclement, weather, or delays in obtaining materials from its suppliers or other causes beyond Snaidero's control.
