Morgan Stanley will call them and ask it they are prepared to back us to the tune of whatever their number is, again assuming the due dil proves out etc. Morgan Stanley will also need to satisfy themselves that each investor has the wherewithal to write their portion of the check should they elect to do so. So all I really need is an email saying that assuming everyone is satisfied with the results of the due dil and the structure, they would be prepared to invest $x. Totally non-binding.
