As you will see from the attached letter, we are seeking to conclude the disposibon of your Founding Member Note and certain necessary changes as to your membership in the Club---all of which are designed to allow the Club to continue to operate. We have enclosed for your review a detailed letter explaining the reasons associated with these matters as well as our need to accomplish this in a time sensitive manner. In addition to the letter we are providing you with a Settlement & Release Agreement to permanently dispose of the debt and provide you with the mechanism for tax relief as your tax advisor would recommend. The Settlement and Release Agreement requires your signature. Please note that we are asking you to review the enclosed letter and agreement, and turn this around (with the return of the necessary documents) no later than Dec 31. We are more than happy to facilitate assisting you in this regard.
