Please note that based on Larry's advice that the Seller would not accept an absolute requirement to deliver the spares and shop equipment, if there was no sale of the other helicopter, I did not include a requirement for the shop equipment and spares to be delivered to Purchaser by a date certain. (I was going to make it a requirement to deliver shop equipment and spares five business days after the earlier of (1) closing of the sale or (2) July 31, 2019 (even if no sale of the other S-76 occurred by that date). Jeffrey please confirm that this is ok with you. LOI acceptance deadline is 5PM February 19, 2019. Larry, please confirm with JE about the spare parts and shop equipment only being deliverable if there is a sale of the other S-76C.
