Joinder Agreement

Joinder Agreement The undersigned is executing and delivering this Joinder Agreement as of (the "Joinder Date") pursuant to the Convertible Promissory Note Purchase Agreement, dated as of TM (the "Agreement"), by and among OH2 Laboratories, LW (the "Company") and the persons and entities named on Schedule A to the Agreement (collectively with the Company, the "Existing Parties"), with respect to a convertible promissory note in substantially the form set forth on Exhibit A to the Agreement, dated as of the Joinder Date. By executing and delivering this Joinder Agreement to the Company, the undersigned hereby agrees to become a party to, to be bound by, and to comply with the provisions of the Agreement in the same manner as if the undersigned were an original signatory to the Agreement as a Purchaser (as defined in the Agreement). As provided in Section 2.2 to the Agreement, the undersigned understands and agrees that (a) the representations and warranties of the Company set forth in Section 3 of the Agreement as of TBD and the Company has no obligation to update any disclosure related to them, and (b) the representations and warranties of the undersigned in Section 4 of the Agreement speak as of the Joinder Date.
