MANDAT DE REPRESENTATION ENTRE : La société NEXT MANAGEMENT PARIS, Sari au capital de 50.000 euros, immatriculée au R.C.S. de Paris sous le numéro de SIREN 408 231 785, ayant son siège 9 Boulevard de la Madeleine — 75001 Paris, et titulaire d'une licence n° 75.14.027 conformément à la loi du 12 Juillet 1990 relative aux agences de mannequins et à la protection des enfants et des adultes exerçant l'activité de mannequins et à l'article L. 7123-11 du Code du Travail, dûment représentée aux fins des présentes par son gérant, Monsieur Joel WILKENFELD, Ci-après dénommée I"'AGENCE", D'une pan, ET Mme/Melle née le de nationalité demeurant à [représentée, en raison de sa minorité au moment de la conclusion de la présente convention, par son père et sa mère en leur qualité d'administrateurs légaux des biens et de la personne de leur fille mineure], Ci-après dénommée la "PERSONNALITE", d'autre part, Ci-après ensemble désignés les « PARTIES », PREAMBULE 1. La PERSONNALITE est une [actrice/chanteuse/ animatrice/artiste...] renommée. 2. NEXT MANAGEMENT est une agence de mannequins qui jouit d'une excellent réputation à travers le monde et dispose de nombreux bureaux en France et à l'étranger. 3. Parallèlement à sa carrière [d'actrice/de chanteuse/animatrice/artiste...], la PERSONNALITE souhaite aujourd'hui développer REPRESENTATION AGREEMENT BETWEEN: NEXT MANAGEMENT PARIS A French limited liability company (SARL) with a share capital of 50,000 euros, registered with the Paris Trade Registry under No. SIREN 408 231 785, having its registered office at 9 boulevard de la Madeleine— 75001 Paris, holder of a Licence No75.14.027 in accordance with the Law dated July 2nd, 1990 regarding model agencies and the protection of children and adults exercising the activity of models and in accordance with article L. 7123-11 of the French Labour Code; duly represented hereto by its Manager, Joel WILKENFELD, Hereinafter referred to as the "AGENCY", On the first part AND Mrs/Miss born on of nationality, residing at [represented hereto by her Father and/or Mother in their capacity as the legal guardian(s) of the assets and person of their daughter, who is still a minor at the time of execution of this Agreement.] Hereinafter referred to as the "PUBLIC FIGURE" On the second part. Hereinafter together referred to as the « PARTIES", PREAMBLE 1. The PUBLIC FIGURE is renowned [an actress/a singer/a TV host / an artist...]. 2. NEXT MANAGEMENT is model agency which benefits from an excellent reputation throughout the world and has many offices in France and abroad. 3. In addition to her career as [an actress/a singer/a TV host/an artist...], the PUBLIC FIGURE today wishes to develop her image, including by EFTA01142150 son image, au travers notamment de prestations pour des annonceurs de produits ou de services et de partenariats avec des marques, pouvant donner lieu à des tournages ou prises de vues et s'accompagner en conséquence de contrats de cession de droit à l'image. 4. Compte tenu de l'expérience de l'AGENCE et de sa réputation en France et à travers le monde, la PERSONNALITE a souhaité lui confier, à titre exclusif, la mission de promouvoir son image en vue de la conclusion de contrats de mise à disposition et de contrats de cession des droits attachés à son image, conformément aux termes du présent mandat de représentation (ci-après le « Mandat »). ARTICLE 1 — OBJET ET ETENDUE DU MANDAT 1.1. Aux ternies du présent Mandat, la PERSONNALITE confie à l'AGENCE, qui l'accepte, un mandat exclusif de représentation dont le périmètre est détaillé ci-après. Au titre du présent Mandat, la PERSONNALITE confie à l'AGENCE les missions suivantes : (i) promouvoir et développer l'image et la carrière de la PERSONNALITE en recherchant pour elle des opportunités professionnelles distinctes de son activité principale [d'actrice/de chanteuse/d'animatrice/d'artiste]. A ce titre, l'AGENCE recherchera des clients susceptibles d'être intéressés par les services de la PERSONNALITE et démarchera activement ces clients ; (ii) négocier et conclure tout contrat concrétisant de telles opportunités professionnelles, qu'il s'agisse notamment de contrats de mise à disposition ou de contrats relatifs à la cession des droits attachés à l'image de la PERSONNALITE, conformément aux exigences légales, réglementaires, conventionnelles applicables et aux termes du présent Mandat ; (iii)contrôler la bonne exécution de ces contrats ; percevoir les produits des prestations et des cessions des droits à l'image de la PERSONNALITE; en donner quittance et décharge aux clients ; et poursuivre le providing services to advertisers in charge of the promotion of products or services, or by means of partnership with brands, which may give rise to film or photo shootings and as a consequence result in the assignment of the relevant image rights. 4. Taking into consideration the experience of the AGENCY and its repute in France and throughout the world, the PUBLIC FIGURE wishes to entrust the AGENCY, on an exclusive basis, with the mission to promote her image with the purpose to enter into labor supply agreements and agreements for the assignment of her image rights, in accordance with the ternis of the present agency agreement (hereinafter the "Agency Agreement"). ARTICLE 1 — PURPOSE AND SCOPE OF THE AGENCY 1.1. Pursuant to this Agency Agreement, the PUBLIC FIGURE entrusts the AGENCY with, and the AGENCY accepts, an exclusive mandate of representation, the scope of which is detailed below. Pursuant to this Agency Agreement, the PUBLIC FIGURE entrusts the AGENCY with the following missions: (i) promote and develop the image and the career of the PUBLIC FIGURE by researching professional opportunities for her different from her main activity as [an actress/a singer/a TV host/an artist]. In that respect, the AGENCY will seek to identify clients likely to be interested by the services of the PUBLIC FIGURE and will actively canvass such clients; (ii) negotiate and enter into agreements formalizing such professional opportunities, including in particular labor supply agreements or agreements concerning the assignment of the PUBLIC FIGURE's image right, in accordance with applicable legal, regulatory and conventional requirements and with the ternis of this Agency Agreement; (iii)monitor die proper performance of these agreements; collect the proceeds of the relevant services or assignments of the PUBLIC FIGURE's image rights; to grant receipts and discharge to Clients with respect to the same; EFTA01142151 recouvrement de toute creance contractuelle ou delictuelle, par touter voies de droit, en cas de non paiement par les clients ou d'utilisation illicite de l'image de la PERSONNALITE. 1.2. II est expressement convenu entre les Parties que le present Mandat est confie a I'AGENCE a titre exclusif, et pour le monde entier. Par consequent, la PERSONNALITE s'engage a ne pas traiter directement ou indirectement avec un autre agent ou des clients, et a informer l'AGENCE de toute sollicitation dont elle ferait 1'objet. ARTICLE 2 — DECLARATIONS DES PARTIES 2.1. L'AGENCE declare : (I) disposer d'une licence No. 75.14.027 l'autorisant, conformement a la loi du 12 juillet 1990 et de l'article L. 7123-11 du Code du travail, a embaucher des mannequins et a les mettre disposition temporaire de clients, a titre onereux ; (ii) avoir contracts une garantie financiere en application de l'article L. 7.123-19 du Code du Travail. Le garant de l'AGENCE est la Banque Cantonale de Geneve (France) dont le siege est situe 20 place Louis Pradel — 69001 Lyon ; (iii) etre affiliee au Syndicat National des Agences de Mannequins (SYNAM) ; (iv) relever de la Caisse de Retraite et de Prevoyance suivante, a laquelle elle s'engage a affilier la PERSONNALITE : CAPRICAS GRISS, 7, me Henri ROCHEFORT —75007 Paris. 2.2. La PERSONNALITE declare et garantit que la conclusion et ('execution du present Mandat ne contrevient a aucun contrat auquel elle serait partie, a quelque titre que ce soit. La PERSONNALITE declare en particulier ne pas etre tenu d'une quelconque obligation d'exclusivite faisant obstacle a la conclusion et a ('execution du present contrat. and recover any amount to which she may be entitled on contractual or tortious grounds, by all legal means, should clients be in default or should there be any unauthorized use of the PUBLIC FIGURE's image ; 1.2.1t is expressly agreed between the Parties that this Agency Agreement is entered into with the AGENCY on an exclusive basis, and for the whole world. As a consequence, the PUBLIC FIGURE hereby undertakes not to deal directly or indirectly with any other agent or clients and to inform the AGENCY of any solicitation that she may receive. ARTICLE 2 — DECLARATIONS OF THE PARTIES 2.1. The AGENCY hereby declares that: (i) it is the holder of a Licence No. 75.14.027 duly authorizing it to hire models and offer their temporary services to clients for valuable consideration, in accordance with the terms of the Law dated July 12th, 1990 and article L. 7123-11 of the French Labour Code ; (ii) it has contracted a financial guarantee pursuant to article L. 7123-19 of the French labour code. The guarantor of the AGENCY is the Banque Cantonale de Geneve (France), the registered office of which is located 20, place Louis Pradel — 69001 Lyon; (iii) it is a member of the SYNAM (National Trade Union for Model Agencies); (iv) it is affiliated to the following retirement and benefit scheme, to which it undertakes to affiliate the PUBLIC FIGURE: CAPRICAS GRISS, 7, rue Henri ROCHEFORT —75007 Paris. 2.2. The PUBLIC FIGURE hereby declares that the execution and performance of this Agency Agreement does not in any way whatsoever infringe other agreements to which she is a party. In particular, The PUBLIC FIGURE declares that she is not bound by any exclusivity clause preventing the execution and performance of this agreement. 3 EFTA01142152 ARTICLE 3 - OBLIGATIONS GENERALES DES PARTIES 3.1. L'AGENCE s'engage, tout au long du présent Mandat, à : - mettre en oeuvre tous les moyens nécessaires à la bonne exécution du présent Mandat et le développement de l'image de la PERSONNALITE, dans le respect de sa réputation et de ses instructions, notamment en désignant un agent/booker spécialement chargé de la promotion et du suivi de la carrière de la PERSONNALITE ; - faire part à la PERSONNALITE, dans les meilleurs délais, de toute opportunité professionnelle et l'informer de toute proposition la concernant, en ayant recueilli auprès des clients des informations aussi précises que possible sur la nature des prestations et à l'étendue des cessions de droits envisagées; - recueillir l'accord exprès de la PERSONNALITE avant la régularisation des contrats de mise à disposition la concernant et les contrats de cession des droits attachés à son image ; - négocier avec les clients les contrats relatifs à la PERSONNALITE (en ce compris les contrats de mise à disposition relatifs et les contrats de cession de son droit à l'image), en représentant au mieux les intérêts de cette dernière ; - apporter à la PERSONNALITE l'assistance nécessaire à la bonne exécution de ses engagements, notamment en se chargeant de la gestion de son emploi du temps ; - en cas de cessation du présent Mandat, cesser, dans un délai de six (6) mois à compter de cette cessation, l'utilisation à titre gracieux des clichés de la PERSONNALITE sur ses supports de promotion prévue à l'article 3.2. ; - en toute hypothèse, exécuter le présent mandat conformément aux exigences légales, réglementaires et conventionnelles applicables et selon les usages professionnels en la matière ; - rendre compte de sa gestion des droits de la PERSONNALITE conformément aux termes du présent Mandat, sur demande de la PERSONNALITE, et tenir à sa disposition toute pièce justifiant de cette gestion. ARTICLE 3 — GENERAL OBLIGATIONS OF THE PARTIES 3.1. The AGENCY undertakes, throughout the term of this Agency Agreement, to: employ all the means necessary for the proper performance of this Agency Agreement and the development of the PUBLIC FIGURE's image, in accordance with her reputation and instructions, including by appointing an agent/booker dedicated to the promotion of the PUBLIC FIGURE and the advancement of her career; inform the PUBLIC FIGURE, within the best delays, of any professional opportunity or offer concerning her, having collected as detailed information as possible from the clients concerning the contemplated services and the scope of the contemplated assignments of image rights; collect the PUBLIC FIGURE's approval prior to the execution of any labor supply agreement concerning her and of any contract for the assignment of her image right; negotiate with clients the agreements concerning the PUBLIC FIGURE (including labor supply agreements and contracts for the assignment of her image right), while always representing her best interest; provide to the PUBLIC FIGURE the necessary assistance for the proper performance of her missions, including by dealing with the management of her schedule; upon expiry or termination of this Agency Agreement, cease, within a period of six (6) months from such expiry or termination, the gratuitous use on its advertising media of the pictures of the PUBLIC FIGURE authorized under article 3.2.; in all circumstances, perform this Agency Agreement in accordance with applicable legal, regulatory and conventional requirements as well as in accordance with relevant professional usages; report to the PUBLIC FIGURE on its management of her rights in accordance with the terms of this Agency Agreement, upon her request, and hold at her disposal any documents evidencing such management. 4 EFTA01142153 3.2. La PERSONNALITE s'engage quant à elle, tout au long du présent Mandat : collaborer activement avec l'AGENCE afin de la mettre en mesure d'exécuter sa mission conformément aux termes du présent Mandat ; - autoriser l'AGENCE à faire usage, à titre gracieux, de plusieurs clichés la représentant aux fins de promotion de sa carrière mais aussi de l'AGENCE, et notamment pour être reproduites sur le book ou le site Internet de I 'AGENCE; apporter les meilleurs soins à l'exécution des missions qui lui seront confiées, pour la satisfaction des clients, et notamment respecter les horaires, les consignes spécifiques de sécurité et les instructions qui lui seront communiquées par les clients dans le cadre de ces missions, ne pas adopter une attitude de refus systématique et non motivé des souhaits artistiques des clients ; - signaler immédiatement à l'AGENCE toute difficulté survenant en cours d'exécution d'une prestation et/ou toute non conformité au contrat de mise à disposition ; - à s'abstenir de critiquer l'AGENCE ou les Clients, notamment en public, étant précisé que cette obligation perdurera après le terme du présent Mandat ; relever et garantir l'AGENCE de toute conséquence dommageable que pourrait lui causer l'inexécution ou la mauvaise exécution par la PERSONNALITE de ses engagements aux termes du présent Mandat, ainsi que de tout contrat de mission ou de cession de droits accepté par cette dernière. ARTICLE 4 — MISE EN OEUVRE DU MANDAT 4.1. Les Parties reconnaissent que, conformément à la réglementation applicable, la mise en oeuvre du présent Mandat supposera la régularisation des conventions suivantes : - Pour chaque mission acceptée par la PERSONNALITE, la conclusion d'un contrat de mise à disposition entre l'AGENCE et le 3.2.The PUBLIC FIGURE hereby undertakes, throughout the term of this Agency Agreement, to: - actively collaborate with the AGENCY in order to enable it to perform its mission in accordance with the ternis of this Agency Agreement; - authorize the AGENCY to make free use of several photo shoots of her, for her promotion and that of the AGENCY, and in particular to reproduce such photos on the AGENCY's book or Website; - bring her utmost care to the performance of the missions entrusted to her, in order to fully satisfy the clients, and in particular to respect the time schedules, security or other specific instructions given by the clients during missions and not to adopt an attitude of systematic and unjustified refusal of the artistic choices of the clients; - immediately notify the AGENCY of any difficulty that may arise during the performance of a mission and/or any non- compliance with the ternis of the labour supply agreement; - refrain from criticizing the AGENCY or the clients, in particular in public — such obligation shall remain in force after the termination of this Agency Agreement; - hold the AGENCY harmless from any damage which it may suffer as a result of the non- performance or improper performance by the PUBLIC FIGURE of its undertakings under this Agency Agreement and under any employment agreement or assignment agreement duly accepted by the PUBLIC FIGURE. ARTICLE 4 — ENFORCEMENT OF THE AGENCY 4.1. The Parties hereby acknowledge that, in accordance with the applicable regulation, the enforcement of this Agency Agreement will imply the execution of the following agreements: - For every mission accepted by the PUBLIC FIGURE, the AGENCY will enter into a labor supply agreement with the client and into an 5 EFTA01142154 client et d'un contrat dit 'de mission', entre l'AGENCE et la PERSONNALITE, conformément aux articles L. 7123-5 et R. 7123-1 du Code du Travail ; - Pour toute utilisation de l'image de la PERSONNALITE autre que celle visée à l'article 4.3.1. ci-après, la conclusion entre le client et l'AGENCE, agissant en qualité de mandataire de la PERSONNALITE, d'un contrat de cession des droits attachés à cette image. Les Parties conviendront ensemble des conditions tarifaires qui pourront être proposées aux clients au titre des missions réalisées par la PERSONNALITE et de l'utilisation de son image, en prenant en considération la notoriété du client, l'intérêt du projet envisagé pour la carrière de la PERSONNALITE, la durée d'utilisation envisagée, l'étendue de sa diffusion... 4.2. Mise à disposition temporaire de la PERSONNALITE 4.2.1. Après avoir recueilli l'accord de la PERSONNALITE pour la mise à disposition envisagée, l'AGENCE régularisera avec le client un contrat de mise à disposition, conforme aux articles L. 7123-17 and R. 7123-19 du Code du Travail et dont une copie sera remise à la PERSONNALITE. 4.2.2. Dans un délai de deux (2) jours à compter de la mise à disposition de la PERSONNALITE, l'AGENCE et la PERSONNALITE concluront un contrat de travail conforme aux exigences légales et précisant notamment : - la nature et les caractéristiques de la mission confiée à la PERSONNALITE ; - la date de départ, la durée et le lieu d'exécution de la mission ; - les éventuels risques spécifiques liés à la réalisation de la mission ; - la qualification de la PERSONNALITE au regard des accords professionnels ; les modalités de détermination et de versement des salaires. 4.2.3. Il est expressément convenu que tout refus de régularisation du contrat de travail par la PERSONNALITE alors même que celle-ci avait manifesté son accord concernant la mission concernée engagera sa responsabilité de cette dernière. employment agreement (or as it may be called "mission contract') with the PUBLIC FIGURE, in accordance with articles L. 7123- 5 and R. 7123-1 of the French Labor Code ; - For any use of the image of the PUBLIC FIGURE other than that referred to under article 4.3.1., the AGENCY will, in the name and on behalf of the PUBLIC FIGURE, enter into a specific agreement for the assignment to the client of the relevant image rights. The Parties shall agree on the financial terms which may be proposed to clients with respect to the missions performed by the PUBLIC FIGURE and the use of her image, taking into consideration the notoriety of the client, the worthiness of the project for the career of the PUBLIC FIGURE, the contemplated duration of use of the image of the PUBLIC FIGURE, the scope of broadcasting... 4.2. Temporary supply of the services of the PUBLIC FIGURE 4.2.1. After having obtained the PUBLIC FIGURE's express approval concerning the contemplated temporary supply of her services, the AGENCY will enter into a labor supply agreement with the client, in accordance with the provisions of articles L. 7123-17 and R. 7123-19 and a copy of which will be given to the PUBLIC FIGURE. 4.2.2. Within two (2) days from the execution of the labor supply agreement, the AGENCY and the PUBLIC FIGURE will enter into an employment agreement complying with applicable legal requirements and mentioning, in particular: - the nature and the characteristics of the mission entrusted to the PUBLIC FIGURE; - the date of the beginning of the mission, its duration and its place of performance; - the potential specific risks associated with the performance of the mission; - the qualification of the PUBLIC FIGURE under the applicable professional agreements; - the means for the determination and payment of the salaries. 4.2.3. It is expressly agreed that the PUBLIC FIGURE shall be liable for any damage caused by her refusal to enter into an employment agreement if she had given her prior consent to the relevant mission. 6 EFTA01142155 4.2.4. L'AGENCE assumera ('ensemble des obligations lui incombant en qualite d'employeur de la PERSONNALITE, notamment vis-à-vis des organismes sociaux. Toutefois, la PERSONNALITE reconnait expressement que le client sera responsable des conditions d'execution du travail pendant la duree de la mission. 4.3. Cession des droits attaches a l'image de la PERSONNALITE 4.3.1. La PERSONNALITE reconnait que tout contrat de mise a disposition emporte la cession au client des droits a l'image de la PERSONNALITE captee durant ladite mission pour des parutions presse en France, dans une limite de douze (12) mois a compter de la premiere parution de ladite image. 4.3.2. Toute autre utilisation de l'image de la PERSONNALITE devra imperativement regularisee par un contrat de cession des droits attaches a cette image. Les montants verses par le client au titre des utilisations autorisees de l'image de la PERSONNALITE seront determines en fonction de la duree d'exploitation, la nature des supports utilises, les modes de diffusion, et les ten•itoires de diffusion prevus et ne pourront donc en aucun cas s'analyser comme des salaires. La PERSONNALITE reconnait expressement que dans l'hypothese on celle-ci revoquerait, pour quelque raison que ce soit, l'une des autorisations d'exploitation fonnalisees par un contrat de cession avec un client, elle supportera seul les consequences eventuelles de cette revocation, tant a l'egard du client concerne qu'a l'egard de I'AGENCE, sauf faute manifeste et grave du client ou de I'AGENCE. ARTICLE 5 — CONDITIONS FINANCIERES 5.1. Remuneration de I'AGENCE 5.1.1. En contrepartie de l'execution du present mandat, I'AGENCE percevra une remuneration sous forme de deux commissions, l'une a la charge du client, l'autre a la charge de la PERSONNALITE. Pour chaque contrat conclus par l'AGENCE avec des clients dans le cadre du present Mandat 4.2.4. The AGENCY shall assume all its obligations as legal employer of the PUBLIC FIGURE, in particular towards social organisms. However, the PUBLIC FIGURE expressly acknowledges that the client shall be responsible for her conditions of work during the mission. 4.3.Assignment of the image rights of the PUBLIC FIGURE 4.3.1. The PUBLIC FIGURE acknowledges that each labor supply agreement authorizes the Client to make use of the image of the PUBLIC FIGURE captured during the mission for publication in the French press, for a maximum period of twelve (12) months from the first publication of said image. 4.3.2. Any other use of the recording of the image of the PUBLIC FIGURE shall be subject to the execution of a specific contract governing the assignment of the relevant image rights. The consideration to be paid by the client with respect to such assignment shall be determined by taking into account the duration of the use, the nature of the media used, the means of broadcasting, the territories in which such broadcasting shall be made and shall in no case be analyzed as salaries. The PUBLIC FIGURE expressly acknowledges that she shall be solely liable towards both the AGENCY and the clients for any damage caused by her decision to withdraw, for any reason whatsoever, one of the authorizations of use duly formalized by an assignment contract, except in case of a serious breach by the AGENCY or the client. ARTICLE 5 - FINANCIAL TERMS 5.1. Remuneration of the AGENCY 5.1.1. As consideration for the performance of this Agency Agreement, the AGENCY shall receive a remuneration in the form of two commissions, born respectively by the client and by the PUBLIC FIGURE. For each contract entered into between the AGENCY and a client under this Agency 7 EFTA01142156 (notamment contrat de mise a disposition et contrat de cession de droits), les Parties conviendront d'un montant qui servira d'assiette pour le calcul des deux commissions (ci-apres « Assiette »). Commission a la charge du client : L'AGENCE facturera au client une somme globale correspondant au montant de l'Assiette majore d'une commission de [20]% (« Commission Client »). - Commission a la charge de la PERSONNALITE : L'AGENCE prelevera sur le montant l'Assiette une commission de (« Commission Personnalite »). de 5.1.2. II est precise que les remunerations visees au present article 5.1. seront dues a l'AGENCE au titre de : - tout contrat conclu par l'AGENCE en execution de sa mission pendant la duree du present Mandat ; - tout contrat conclu par l'AGENCE apres ]'expiration ou la resiliation du present Mandat confonnement aux termes de ]'article 6.3. ci- apres. 5.2. Remuneration de la PERSONNALITE 5.2.1. Salaires dus au titre des missions executees par la PERSONNALITE : En contrepartie de la bonne execution par Ia PERSONNALITE des missions qui lui auront ate confiees, cette percevra un salaire brut correspondant a l'Assiette diminuee de Ia Commission Personnalite et des charges patronales. L'AGENCE versera a la PERSONNALITE, au plus tard le 7 du mois suivant la fin de la mission, un salaire net correspondant au montant du salaire brut diminue du montant des diverses charges et cotisations sociales et fiscales applicables. 5.2.2. Remunerations dues au titre des contrats de cession des droits attaches a ('image de la PERSONNALITE : En contrepartie de la cession des droits attaches a son image, la PERSONNALITE percevra une remuneration correspondant a l'Assiette diminuee Agreement (including labor supply agreements and contracts for the assignment of rights), the Parties shall agree on an amount on the basis of which the two commissions shall be calculated (hereinafter the "Basic Amount"). - Commission born by the client: The AGENCY shall invoice to the client a global sum corresponding to the Basic Amount increased by a commission of [20] % (hereinafter the "Client Commission"). Commission born by the PUBLIC FIGURE: The AGENCY shall deduct from the Basic Amount a commission of (hereinafter the "Public Figure Commission"). 5.1.2. It is expressly agreed that the AGENCY shall be entitled to the remunerations provided for under this article 5.1. with respect to : - any agreement entered by the AGENCY in the performance of its mission during the term of this Agency Agreement; - any agreement entered into by the AGENCY after the expiry or termination of this Agency Agreement in accordance with the provisions of article 6.3. below. 5.2. Remuneration of the PUBLIC FIGURE 5.2.1. Wages owed to the PUBLIC FIGURE with respect to the performance of her missions: In consideration for the proper performance of her missions, the PUBLIC FIGURE shall be entitled to a gross wage of an amount corresponding to the Basic Amount reduced by the Public Figure Commission and the employer's contribution owed by the AGENCY. The AGENCY shall pay to the PUBLIC FIGURE, on the 7ih day of the month following the end of the mission at the latest, a net salary of an amount corresponding to the gross wage reduced by the various tax and social contributions and charges. 5.2.2. Remuneration owed to the PUBLIC FIGURE with respect to the assignment of her image rights: In consideration for the assignment of her image rights, the PUBLIC FIGURE shall receive a remuneration corresponding to the Basic Amount 8 EFTA01142157 de la Commission Personnalité. reduced by the Public Figure Commission. L'AGENCE versera cette rémunération à PERSONNALITE au plus tard quinze (15) jours après l'encaissement de la facture correspondante par l'AGENCE. 5.2.3. Pour le paiement de sa rémunération prévue au présent article, la PERSONNALITE s'engage à communiquer à l'AGENCE, le jour de la signature du présent Mandat, les coordonnées du compte bancaire sur lequel elle désire que lui soit versée sa rémunération. 5.3. Avances de frais et remboursement des avances 5.3.1. Dans le cadre de l'exécution du présent mandat, l'AGENCE pourra engager, dans l'intérêt de la PERSONNALITE, des frais relatifs notamment à l'élaboration d'un book, d'un composite, à des tests photos... 5.3.2. Il est expressément convenu entre les Parties que ces sommes constitueront des avances devant faire l'objet d'un remboursement par la PERSONNALITE, à la condition toutefois que l'AGENCE ait recueilli son accord exprès avant d'engager ces frais. Par conséquent, la PERSONNALITE autorise expressément l'AGENCE à pratiquer sur ses rémunérations les retenues nécessaires au remboursement de ces avances. Conformément aux articles L. 7123-9 et R. 7123-3 du Code du Travail, ces retenues ne pourront excéder 20 % du montant des salaires et rémunérations versés à la PERSONNALITE. ARTICLE 6 - DUREE ET RESILIATION 6.1. Le présent Mandat prend effet à compter de sa signature par les Parties, pour une durée déterminée de ans. 6.2. En l'absence dénonciation par l'une ou l'autre des Parties par lettre recommandée avec accusé de réception moyennant un préavis de [trois (3)] mois, le présent Mandat sera renouvelé tacitement par périodes successives d' [un (1)] an. 6.3. Il est expressément convenu entre les Parties qu'à la cessation du présent Mandat, pour quelque cause que ce soit, l'AGENCE pourra : The AGENCY shall pay such remuneration to the PUBLIC FIGURE at the latest fifteen (15) days after the AGENCY has received payment by the client of the corresponding invoice. 5.2.3. For the payment of her remuneration provided for under this article, the PUBLIC FIGURE undertakes to communicate to the AGENCY, on the date of execution of this Agency Agreement, the bank details of the account on which she wishes to receive her remuneration. 5.3.Advance payment of expenses and reimbursement of such advance payments 5.3.1. The AGENCY may, under this Agency Agreement, incur expenses in the interest of the PUBLIC FIGURE, such as the costs of the creation of a book, a composite, test photos... 53.2. It is expressly agreed by the Parties that such expenses shall be considered as advance payment to be reimbursed by the PUBLIC FIGURE provided such fees were submitted to her prior express approval. As a consequence, the PUBLIC FIGURE expressly authorizes the AGENCY to deduct from her remuneration the amounts necessary for the reimbursement of such advances. In accordance with the terms of articles L. 7123-9 and R. 7123-3 of the French labour code, these deductions shall not exceed 20% of the remunerations owed to the PUBLIC FIGURE. ARTICLE 6 - TERM AND TERMINATION 6.1. This Agency Agreement will be effective as from its date of execution by the Parties, for a fixed term of years. 6.2. Unless terminated by either Party by registered mail with acknowledgment of receipt with a [three (3)] months notice, this Agency Agreement will be tacitly renewed for additional periods of [one (1)] year. 6.3. It is expressly agreed between the Parties that in case of expiry or termination of this Agency Agreement, for any reason whatsoever, the AGENCY shall be entitled to: 9 EFTA01142158 (i) poursuivre l'exécution des contrats conclus par dans le cadre du présent Contrat et en cours à la date de cessation dudit Contrat; (ii) finaliser toutes négociations engagées avant la cessation du présent Mandat et signer les contrats correspondants ; et (iii)répondre à toute nouvelle demande d'un de ses clients concernant la cession des droits attachés à l'image de la PERSONNALITE découlant de l'existence d'un contrat de travail et d'un contrat de mise à disposition conclus avec l'AGENCE, sous réserve que ces droits soient disponibles (c'est-à-dire qu'ils n'aient pas d'ores et déjà fait l'objet d'une cession sous exclusivité). A toutes fins utiles, il est précisé que, dans ces hypothèses, il sera fait application de la rémunération prévue à l'article 5 ci-dessus. ARTICLE 7- NULLITE PARTIELLE Dans l'hypothèse ou tout ou partie d'un ou plusieurs articles du présent Mandat, serait entachée de nullité, il est expressément convenu que le reste de la convention demeurera pleinement valable. ARTICLE 8 - LOI APPLICABLE ET JURIDICTION COMPETETENTE Pour l'exécution du présent Mandat, la PERSONNALITE fait élection de domicile au siège de l'AGENCE figurant en tête des présentes. Les dispositions du présent Mandat et de ses avenants éventuels sont soumises au droit français. Tout litige relatif à la conclusion, l'interprétation ou l'exécution du présent Mandat sera portée devant les juridictions compétentes situées dans le ressort de la Cour d'Appel de Paris. Fait en double exemplaire A Paris, Le L'AGENCE (*) r ) faire précéder la signature de la mention manuscrite « Lu et Approuvé, Bon pour acceptation de Mandat » (i) continue to perform the contracts entered into as a result of this Agency Agreement and which are still in force at the date of termination of this Agency Agreement; (ii) finalize and execute any contract for which negotiations were initiated before the termination of this Agency Agreement; and (iii)meet the demands of any of its clients with respect to recordings of the presentation of the PUBLIC FIGURE resulting from an employment contract and a labor supply agreement entered into with the AGENCY, provided such recordings are available (i.e. not already the subject matter of an exclusive assignment agreement). For the avoidance of doubt, the remuneration provided for under article 5 above shall apply in the above circumstances. ARTICLE 7 - NULLITE PARTIELLE Should all or part of one or more clauses of this Agency Agreement become null and void, the Parties expressly agree that the rest of the Agency Agreement will remain fully valid. ARTICLE 8 - APPLICABLE LAW AND COMPETENT JURISDICTION For the performance of this Agency Agreement, the PUBLIC FIGURE elects domicile at the AGENCY's registered office mentioned above. The provisions of this Agency Agreement and, as the case maybe, its amendments are subject to French law. Any dispute concerning its execution, interpretation or the performance of this Agency Agreement shall be brought before the competent jurisdiction within the area of jurisdiction of the Court of Appeal of Paris.
