RESOLUTION OF CLASS A GENERAL PARTNER

RESOLUTION OF CLASS A GENERAL PARTNER AP NARROWS LP WHEREAS, the undersigned is the Class A General Partner (the "Class A QE") of AP Narrows LP (the "Partnership"). WHEREAS, under Article II of the Limited Partnership Agreement (the "LP Agreement") governing the Partnership, the Class A GP is directed to amend Schedule A to the LP Agreement from time to time to reflect any change in ownership of Partnership Interests or a Partner's Percentage Interest (as such terms are defined in the LP Agreement); WHEREAS, since the date of signing of the LP Agreement, there have been changes in ownership of Partnership Interests and Percentage Interests; NOW, THEREFORE, the undersigned, as Class A GP of the Partnership, hereby amends Schedule A of the LP Agreement as provided in the attached revised Schedule A to reflect the current ownership of Partnership Interests and the Partners' Percentage Interests.
