UNANIMOUS CONSENT IN LIEU OF MEETING OF THE BOARD OF TRUSTEES OF THE J. EPSTEIN VIRIGIN ISLANDS FOUNDATION, INC. (a/k/a ENHANCED EDUCATION) The undersigned, being all of the members of the Board of Trustees of The J. Epstein Virgin Islands Foundation, Inc., a United States Virgin Islands corporation, a/k/a Enhanced Education (the &Corporation", in lieu of holding a meeting do hereby adopt the following resolutions and the taking of all action required or permitted thereby: WHEREAS, on February 29, 2012, each of Darren X lndyke, Cecile de Jongh, and Jeanne Brennan tendered to the Board of Trustees of the Corporation their resigations from all offices held by them for the Corporation; and WHEREAS, as a result of the resignations of Mr. Indyke, Ms. de 'oriel, and Ms. Brennan, it is necessary that the members of the Board of Trustees of the Corporation appoint new officers of the Corporation; NOW, THEREFORE, BE IT RESOLVED, that the following persons be, and each of them hereby is, appointed to hold the office set forth opposite such person's name below, each to serve in such capacity until such time as a successor for has been duly appointed and shall have qualified to serve the Corporation in such capacity: President Jeffrey E.
