Attached please find a draft Letter of Intent relating to the sale of the Boeing to Aamal Company Q.S.C.

The buyer has expressed an interest in purchasing JEGE Inc. and keeping the aircraft on the U.S. registry.
They have also expressed their preference that the structure of the deal would include the seller delivering the aircraft
with all of the modifications that have recently been discussed.
What I have attempted to do is to allow for you to receive a selling price of 3.5M and close the
transaction upon the completion of the C2C Inspection, pre-purchase inspection, and the correction of discrepancies
related thereto. Eric Roth, from International Jet Interiors, will complete the modifications referenced above at a price
not to exceed 2.0M.
Essentially, it is two separate transactions, a sale and a subsequent completion. However, given the
buyer's concern and preference for purchasing a completed aircraft, I have structured it to provide for one payment into
escrow encompassing all the work.
This is intended to be a non-binding Letter of Intent, which would be superseded by a Purchase
Agreement. I understand that I'm giving it to you quite late in the afternoon, however, if it is possible, and if it is
generally acceptable to Jeffrey, please advise and I will forward to the buyer with the caveat that it remains subject to
further comment by the seller.
