Attached please find a draft Letter of Intent relat=ng to the sale of the Boeing to Aamal Co=pany Q.S.C.
The buyer has expressed an interest in purchasing J=GE Inc. and keeping the aircraft on the U.S. registry. They
have also expressed th=ir preference that the structure of the deal would include the seller deliver=ng the aircraft with
all of the modifications that have recently been discuss=d.

What I have attempted to do is to allow for you to r=ceive a selling price of 3.5M and close the transaction upon
the completion of t=e C2C Inspection, pre-purchase inspection, and the correction of discrepanci=s related thereto. Eric
Roth, from International Jet Interiors, will complet= the modifications referenced above at a price not to exceed 2.0M.
Essentially, it is two separate transactions, a sal= and a subsequent completion. However, given the buyer's
concern and pref=rence for purchasing a completed aircraft, I have structured it to provide for one = payment into
escrow encompassing all the work.
This is intended to be a non-binding Letter of Inte=t, which would be superseded by a Purchase Agreement. I
understand that Htfr=99m giving it to you quite late in the afternoon, however, if it is possible, a=d if it is generally
acceptable to Jeffrey, please advise and I will forward=to the buyer with the caveat that it remains subject to further
comment by th= seller.
