Following our conversation I would like to add the below mentioned points to the MOU:
I. We would like to ensure that Mr. Epstein maintains the financial control (until the loan is fully
paid with the interest rate) and does not loose his investment. For example, certain penalties
should be established if the conditions of the agreement are not followed. Mr. Epstein is
interested in the financial control (approval of the budgets, salaries, capital expenditures), not
the operational one. We would prefer to chose the auditors as well.
2. if the agency operates according to the business plan and the budget that you submit - we will
follow our part of the agreement and provide the capital agreed upon. If we do not do so, you
will get our equity. And vice versa, if during the first two years no payment is made to us, you
will transfer 10% of your equity to us.
