I firmly believe that the sensitivity of the issues, require both extra care and caution. that being said, I reviewed it , and only with my limited legal skils it is clearly legally flawed, one sided, unworkable, onerous and ambiguous. seperate from that I assume this was a cut and paste from some past agreements.
