CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT As a condition to the disclosure of any information, data, materials and discussions regarding Global Invest Intl' Brokerage Ilc., it's members, owners, affiliates, subsidiaries, partners, businesses, business relationships, principals, officers, directors, agents and employees, (collectively referred to hereafter as "Global" or "Company")), and in particular information regarding investments in, financial and contractual arrangements with , and commercial transactions involving Company affiliated and associated projects, the Recipient indicated below agrees to treat all information (whether prepared by Company, its general partners, limited partners, LLC members, employees, agents, advisors, consultants, attorneys, accountants and or personal relationships, ["Representatives"l) which is furnished to Recipient, now or in the future, as Confidential Information in accordance with the provisions of this Confidentiality and Non Disclosure Agreement. The term Confidential Information shall be deemed to include all matters discussed between us and all correspondence, memoranda, analyses, studies, financial models, interpretations or other documents, data, reports, records or trade secrets, which contain, reflect or are based upon, in whole or in part, the Confidential Information furnished pursuant hereto. The term Confidential Information shall be deemed to include, but is not limited to, all such information which has not been in the public domain prior to receiving this information from the Company. The term Confidential Information does not include information which (i) is or becomes generally available to the public other than as a result of the disclosure by you, (ii) was within your possession prior to its being furnished to you pursuant hereto, (iii) becomes available to you on a non-confidential basis from a source other than us or our Representatives without restrictions on its further use, or (iv) is independently developed by you and does not contain, reflect or is based upon, in whole or part, the Confidential Information furnished to you pursuant hereto. You agree that you will use the Confidential Information solely for the purpose of discussing, analyzing, and pursuing your intended transactional obligations to the Company, that the Confidential Information will be kept strictly confidential and that you will not, in any manner, disclose any of the Confidential Information, except as to which the Company has given prior written consent. In addition, you agree that without prior written consent from Company, you will not disclose to any person not entitled to the Confidential Information the fact that the Confidential Information has been made available to you, or that discussions are taking place, unless required under law. Furthermore, at our request, you will return to us all Confidential Information made available to you, including all copies.
