TECHVIEW INVESTMENTS LTD. BVI Company Number: 1900033 (the "Company") WRITTEN RESOLUTIONS OF THE SOLE DIRECTOR Pursuant to Article 10.10 of the Articles of Association of the Company, the undersigned being the duly appointed Sole Director of the Company hereby consents to the adoption of the following resolutions in lieu of a meeting this 2V day of June, 2017: IT IS HEREBY RESOLVED as follows: - 1. That with effect from and including the 30th day of June, 2017 the following signatory mandate shall cancel and replace the existing signatory mandate with respect to the bank account(s) held in the Company's name at Deutsche Bank Securities Inc. (Deutsche Asset and Wealth Management, formerly Private Wealth Management) (the "Bank"), such replacement mandate is also set out in the Schedule attached hereto: (a) Any two (2) of the below-named individuals signing JOINTLY for withdrawals or distributions PROVIDED THAT any amounts exceeding $100,000.00 one (1) of the individuals signing must be either DIKRAN S. IZMIRLIAN, SARKIS D. IZMIRLIAN or DAPHNE C. DELANEY: DIKRAN S. IZMIRLIAN SARKIS D. IZMIRLIAN DAPHNE C. DELANEY PASCALE S. ALLEN JUSTIN T. McDONALD (b) Any one (1) of SARKIS D. IZMIRLIAN, DAPHNE C. DELANEY, PASCALE S. ALLEN or JUSTIN T. McDONALD signing SINGLY for:- (i) any OTC derivatives and Foreign Exchange product transactions where DB AG London is the counterparty and the fund transfer is to DB AG London for payment of executed transactions, for the benefit of Guardian Investment Company Ltd.; and (ii) administrative matters, which provide Deutsche Bank Securities Inc. with (i) updated contact information, i.e. legal or mailing address, telephone number(s) and/or e-mail(s), (ii) requested documents relating to Guardian Investment Company Ltd., and/or (iii) instructions to add and/or remove an individual with viewing access (only) to any of the accounts. It is understood and agreed that Deutsche Bank Securities Inc. may require any two (2) of the above-named individuals to sign JOINTLY in the event that any request is unclear or falls outside of the above stated parameters.
