Lomm Cc: Eileen Alexanderson Subject: Agreement Among Principals Dear Jessica, We have been reviewing the Agreement Among Principals dated July 13, 2007 and are hoping you can help us flesh out some of its provisions. Would you kindly provide a list of the individuals who currently qualify as a "Senior Professional" as defined in Section 1.1 of the Agreement. Please check my interpretation, but I read the definition to refer to (i) any AGM executive officer (as defined in the Securities Act) or (ii) an investment professional that provides services, on a substantially full-time basis, to AGM or one of its Subsidiaries and whose "total income" is among the top 25 highest (excluding Leon, Josh and Marc) for the prior fiscal year. Can you please also tell us who the independent directors of AGM arc. They arc defined as the "Independent Board" in Section 5.3 of the Agreement. Thanks for your assistance.
