i sent this email because Russ' sensibility is to not use lawyers strategically or collaboratively but rather administratively
and i know if we can just get the lawyers on a call phone they can sort out whats perfect for Nathan - this shouldn't be
that complicated and my lawyers are instructed to do whatever it takes to make Nathan comfortable + happy ...I will
agree to anything thats perfect for Nathan
certainly seems like convertible debt with all the rights of an equity owner
would allow for us to function as true partners while also completely insulating Nathan ...alternatively an asset deal
where newco buys the IP Company leaving behind the 55th street operating entity ( Nathan gets any upside economics
of NY thru a license fee) also complete insulates Nathan — but -- i am not the best qualifies person on my team to
discuss this and respectfully Russ isn't for Nathan
all i need is for conversation to happen among the lawyers and we
will get this done - hope he agrees ,,,,LOVE YOU TONS ! THANK YOU !

Hi Russ. I was able to speak with my legal team a few minutes ago about our call.They raised several questions,
thoughts and ideas, and it became clear to me that what would really be helpful and greatly appreciated, is if we can get
the tax lawyers on the phone and have a direct conversation with them to avoid the back and forth. I know if we give
them the opportunity to engage directly we can come up with a good solution where everyone feels confident that
Nathan doesn't have risk/exposure. We might have one of our business lawyers join the call (Rick and/or Kristina), and
you may want to do the same. My thinking here is when the tax lawyers figure this out, we'd probably want our
respective business lawyers to hear it, know what they are suggesting and why, and know what to confirm and/or draft
for us to look at. Please let me know if you are ok with this and we can get a call coordinated. Thanks Jennie
