OF JUDGMENT
ADAM BLY, being duly sworn, deposes and says:
I.
Deponent is the Defendant in this action.
2.
Defendant resides at 66 Perry Street, New York, New York 10014.
3.
Defendant authorizes entry of this judgment in New York County, New York.
4.
Defendant hereby confesses judgment in this Court in favor of the Plaintiff Jeffrey
E. Epstein and authorizes entry thereof against Defendant in the sum, which as of November 10,
2010, is equal to Three Hundred Five Thousand One Hundred Twenty-Eight and Seventy-Seven
Hundredths Dollars ($305,128.77).

This confession of judgment is for a debt justly due to the Plaintiff arising from
the following facts:
On or about February 16, 2010, Plaintiff loaned Defendant the sum of Three
Hundred Thousand Dollars. The loan and Defendant's obligation to repay the same, plus
accrued interest thereon, are evidenced by Defendant's Promissory Note, executed and delivered
as of February 16, 2010, payable to the order of Plaintiff in the principal amount of Three
Hundred Thousand Dollars ($300,000), as amended pursuant to the provisions of a First
Amendment of Promissory Note, effective June 16, 2010, by and between Defendant and
Plaintiff and a Second Amendment of Promissory Note, effective August 11, 2010, by and
between Defendant and Plaintiff (the "Promissory Note"). The Promissory Note became due on
October 15, 2010, and, as of November 10, 2010, Defendant is in default of his obligation to
repay all principal and accrued interest under the Promissory Note in the amount of Three
Hundred Five Thousand One Hundred Twenty-Eight and Seventy-Seven Hundredths Dollars
($305,128.77). Under the provisions of the Promissory Note, inter alia Defendant also

absolutely and unconditionally agreed to reimburse Plaintiff for all out-of-pocket expenses
incurred in connection with the enforcement of the Promissory Note and the transactions
contemplated thereby, including but not limited to all attorney's fees and disbursements and the
fees and disbursements of other professionals relating to the enforcement of any obligations
under the Promissory Note or the satisfaction of any indebtedness of Defendant under the
Promissory Note.

Judgment is hereby confessed in the agreed amount of the sum currently equal to
Three Hundred Five Thousand One Hundred Twenty-Eight and Seventy-Seven Hundredths
Dollars ($305,128.77), plus all interest accrued under the Promissory Note from and after
November 10, 2010, and all out-of pocket expenses, including but not limited to attorney's fees
disbursements, incurred by Plaintiff in connection with the enforcement of and collection on the
Promissory Note. All amounts due at the time of entry of this judgment shall be conclusively
determined by an affidavit of the plaintiff.

Defendant agrees that this Affidavit of Confession of Judgment and any judgment
entered herein, shall be interpreted, construed and enforced in accordance with the laws of the
State of New York, without regard to the provisions governing conflicts of law.
8.
The Judgment confessed herein is not for the purpose of securing plaintiff against
a contingent liability.
